“Compensation for the ceo and its direct reports is determined by the executive committee of the board of directors. Compensation studies are done periodically by an outside compensation consultant to determine compensation, using comparative independent data. The ceo is the only employee who has an employment contract. For other employees, compensation reviews are completed internally comparing compensation data available through panpha and other benchmarks. This was last completed in 2016.”
