“Membership consists of builder and associate members. A builder member is any person, firm or corporation engaged in the construction industry or related trades. An associate member is any person, firm or corporation engaged in a trade, industry or profession related to the housing industry. The builder and associate members join one of 38 affiliated local associations. Each local association has a set number of directors based on the number of builder members within each local in accordance with the PBA by-laws.”

The membership elects the PBA directors as well as become the volunteer leadership of the organization by holding offices such as President, Vice President, Secretary, Treasurer, Regional Vice President, Regional Legislative Officer and Task Force or Committee Chairpersons.”

“The PBA bylaws give the Board the power to (a) transact the general business of the Association except that reserved to the Membership by law or in bylaws; (b) elect officers; (c) establish the policies governing the affairs of the PBA; (d) receive reports and monitor the effectiveness of all committees and councils; (e) act as governing body of the PBA; (f) annually approve a report to the membership, which shall include a report on the strategic plan and the operation and activities of the Board; (g) oversee the comprehensive resources of the Association and ensure that expenditures support the strategic direction and mission of the Association; and (h) obtain member feedback concerning the Board's performance and effectiveness. Each affiliated local association shall elect, according to its on bylaws, State Directors based on the number of builder members in each affiliated local association. A two-thirds (2/3) majority of the State Directors from each affiliated local association shall be builder members.”

“The Form 990 is reviewed by the Chief Executive Officer and Treasurer. The Treasurer is responsible for signing the return. After review of the return by the Treasurer and CEO it is provided to the Senior Officers (who are comprised of the President, Vice President, Secretary, Treasurer, Associate Vice President and Immediate Past President).”

“The conflict of interest policy is provided to each board member during the first board mailing of each year as well as having the policy available at check-in for each board meeting. PBA staff maintains the signed conflict of interest policies and will inform the Executive Committee of any issues. During the board meetings the President reminds those present of the need to sign the policy.”

“The Executive Committee of the Association employs the Chief Executive Officer at whatever rate of compensation it may determine. The Chief Executive Officer shall employ the staff of the Association with the rates of compensation approved by the Personnel Committee within the limits of the budget. Annually during the final board meeting of each year the compensation for the entire staff is reviewed with the Personnel Committee. This compensation review includes salary, bonus and other fringe benefits actual expenses as compared to PBA's budget.”
