(LSS), AND HAS RELIED ON LSS IN ESTABLISHING THE COMPENSATION OF THE ORGANIZATION'S CEO AND CFO. A PORTION OF THEIR COMPENSATION FOR ADMINISTRATIVE SERVICES IS ALLOCATED TO THE ORGANIZATION THROUGH CORPORATE ALLOCATIONS. THE CEO REPORTS DIRECTLY TO THE BOARD OF DIRECTORS WHO APPOINT 4-5 MEMBERS TO SERVE ON A COMPENSATION COMMITTEE. THE COMPENSATION COMMITTEE IS RESPONSIBLE FOR PERFORMING THE CEO'S ANNUAL EVALUATION, ESTABLISHING GOALS AND SETTING THE CEO'S COMPENSATION INCLUDING FRINGE BENEFITS. THE COMPENSATION COMMITTEE MEETS AT LEAST 2 TIMES PER YEAR AND REPORTS TO THE FULL BOARD AT LEAST ANNUALLY, IN EXECUTIVE SESSION, WITHOUT THE CEO PRESENT. APPROXIMATELY EVERY THREE TO FIVE YEARS, THE COMPENSATION COMMITTEE ENGAGES A THIRD PARTY CONSULTANT TO PERFORM AN EXECUTIVE COMPENSATION STUDY. THE CONSULTANT'S STUDY INCORPORATES LIKE ORGANIZATIONS, INDUSTRY SPECIFIC SALARY SURVEYS, AVAILABLE 990 INFORMATION AND THE SCOPE OF RESPONSIBILITIES GIVEN THE HORIZONTALLY DIVERSE MAKEUP OF LUTHERAN'S SERVICES AND MULTIPLE CORPORATE STRUCTURE. THE STUDY PROVIDES GUIDELINES FOR BOTH SALARY AND FRINGE BENEFITS FOR THE COMMITTEE TO USE. THIS STUDY ALSO INCORPORATES OTHER KEY POSITIONS, WHICH ARE REVIEWED BY THE COMMITTEE. THE CEO IS RESPONSIBLE FOR PERFORMING THE OTHER KEY EMPLOYEE'S ANNUAL EVALUATION, ESTABLISHING GOALS AND SETTING COMPENSATION. THE CEO ALSO UTILIZES THE THIRD PARTY COMPENSATION STUDY IN ESTABLISHING COMPENSATION LEVELS FOR KEY EMPLOYEES. FROM TIME TO TIME, THE CEO INFORMS THE COMPENSATION COMMITTEE OF THESE INDIVIDUAL'S SALARY AND FRINGE BENEFITS.
