Governance Explanations

Form 990, Part VI, Section B, Line 11

The information management and mine action program's (immap) form 990 is prepared by an auditor based on the audited financial statements and information prepared by the finance & contracts director which is reviewed/approved by the senior management of the organization. A draft of the form 990 is then submitted by the auditor and subsequently the finance & contracts director, ceo, and all the board of director members review and approve the drafted form 990 before it is submitted to the irs. The ceo shall document their approvals which shall be maintained in immap records. The form 990 and unrelated state returns are signed by the ceo as the individual authorized under the existing policies and procedures established by immap.

Form 990, Part VI, Section B, Line 12C

All board members are required to sign an annual disclosure of the conflict of interest policy at which time they would report any issues of concern.

Form 990, Part VI, Section B, Line 15

Line 15a: the board of directors determines the compensation for the ceo based upon level of responsibilities and review of comparable compensation paid by similar non-government organizations. This was most recently done in 2013. There was no increase in ceo compensation in 2014. Line 15b: the same as above applies for the determination of compensation of other officers/key employees of the organization (including cio and coo). This was most recently done in 2013.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy, and financial statements are made available to the public upon request via print or electronic media.

The organiation's finance & contracts director and ceo are also responsible for reviewing the work of the outsourced accounting firm who provides financial/accounting services to immap.

Financial Statement Notes

PART X, LINE 2:

Immap is exempt from the payment of federal income taxes under section 501(c)(3) of the internal revenue code, except on net income derived from unrelated business activities. Immap believes that it has appropriate support for any tax positions taken, and as such, does not have any uncertain tax positions that are material to the financial statements. Immap's income tax returns are generally subject to examination by the internal revenue service and other taxing authorities for three years after they were filed.
