Governance Explanations

Form 990, Part VI, Section A, Line 8B

Immap does not have committees with authority to act on its behalf.

Form 990, Part VI, Section B, Line 11B

The immap form 990 is prepared by an independent accountant based on the audited financial statements and information prepared by the finance & contracts director which is reviewed/approved by the senior management of the organization. A draft of the form 990 is then submitted by the independent accountant and subsequently the finance & contracts director, ceo, and all the board of director members review and approve the drafted form 990 before it is submitted to the irs. The ceo documents their approvals which shall be maintained in immap records. The form 990 and unrelated state returns are signed by the ceo as the individual authorized under the existing policies and procedures established by immap.

Form 990, Part VI, Section B, Line 12C

All board members are required to sign an annual disclosure of the conflict of interest policy at which time they would report any issues of concern.

Form 990, Part VI, Section B, Line 15

The immap board set up a standing "compensation committee" to review compensation for senior level positions (chief executive officer, chief operating officer, business development director, finance and contracts director, and global security manager). The immap board chairman used comparable compensation data that is paid by similar non-government organizations utilizing the following surveys/sources: 1) non profit times (npt) 2012 salary and benefits survey, using median annual salary for a not-for profits with revenue $5m - $10m. 2) simply hired, an online job salary database, http://www.simplyhired.com/salaries.html median annual salary is given. 3) not for profit in washington dc, children's law center (2013 executive compensation). Annual salaries provided for an organization which has annual revenue similar to immap's annual revenue, $7 to 8 million per annum. 4) international not for profits in washington dc annual 2014 executive compensation. Mercy corps ($278 million annual revenue) and international medical corps ($163 million annual revenue). 5) mercer 2015 global salary survey. Presenting market-driven median gross pay in the usa. The immap compensation committee met to review comparable compensation data, reviewed performance evaluations, and considered the existing financial picture, and finalized salary adjustments for 2017.

Form 990, Part VI, Section C, Line 19

The organization's governing documents, conflict of interest policy and financial statements are made available to the public upon request via print or electronic media.

FORM 990, PART XII, LINE 2C:

Explanation of the oversight of the financial statements and selection of independent accountant: immap has an audit committee. Immap's financial statements are reviewed by its finance and contracts director on a monthly basis with frequent updates to the board of directos/audit committee. The organization's finance and contracts director is also responsible for reviewing the work of the outsourced accounting firm who provides financial and accounting services to immap. Audit firms are selected via rfp process and approved by the audit committee.

Financial Statement Notes

PART X, LINE 2:

Uncertainty in income taxes: immap evaluates uncertainty in income tax positions based on a more likely than not recognition standard. If that threshold is met, the tax position is then measured at the largest amount that is greater than 50% likely of being realized upon ultimate settlement. As of december 31, 2016 and 2015, there are no accruals for uncertain tax positions. If applicable, immap records interest and penalties as a component of income tax expense. Tax years from 2013 through the current year remain open for examination by tax authorities.
