Governance Explanations

Form 990, Part VI, Section A, line 2

Board members Harry and Echo Vanderwal are spouses.

Form 990, Part VI, Section B, line 11

The Form 990 is prepared by an independent CPA firm and the Form 990 is then reviewed and approved by the executive director and board before it is filed with the IRS.

Form 990, Part VI, Section B, line 12

The board and executive director monitor all transactions for potential conflicts of interest. If a potential conflict is identified, the person with a conflict recuses his or her self from the decision making process and the independent board members vote whether or not to proceed with the transaction if it is in the best interest of the organization.

Form 990, Part VI, Section B, line 15

The executive director's compensation is approved by the independent members of the board based on comparability data. Comparability data was last done in 2007/2008. The executive director reviews and approves other employees' compensation annually.

Form 990, Part VI, Section C, line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available upon request.

Supplemental Narrative

Additional Explanations

Form 990, Part III, Line 1

The Luke Commission developed the Comprehensive Compassionate Care model delivering mobile clinics to rural underserved populations with a team of Swazi nationals to support all aspects of the model. Swaziland is a country of 1.2 million people with the highest HIV/AIDS rate worldwide where women of childbearing age have an HIV+ rate exceeding 50% in some age groups. The Luke Commission began with basic healthcare services, ramping up to add HIV/AIDS testing and counseling. As TLC has expanded its services to include a mobile lab, mobile x-ray and 7-bed surgery unit, the Ministry of Health and PEPFAR/USAID has recognized TLC as a mobile hospital unit and part of the national healthcare system. TLC will conduct 70 community outreaches treating 50,000 patients in 2014. The Luke Commission offers comprehensive medical services including diagnoses & treatment, medications with written instructions in SiSwati, HIV testing & counseling, TB screening and testing, vision care & eyeglasses, wheelchairs & assistive devices for disabled, neonatal and adult male circumcision surgeries, minor surgical procedures, health education, domestic violence.

Form 990 Part IV, Line 12

Audited Financial Statements The Luke Commission did not obtain separate, independent audited financial statements for the tax year, but did receive combined, independent audited financial statements, according to Generally Accepted Accounting Principles (GAAP).

Financial Statement Notes

Part X, Line 2:

The consolidated financial statement effects of a tax position taken or expected to be taken are recognized in the consolidated financial statements when it is more likely than not, based on the technical merits, that the position will be sustained upon examination. Interest and penalties, if any, are included in expenses in the consolidated statements of activities. As of December 31, 2013, TLC had no uncertain tax positions that qualify for recognition or disclosure in the consolidated financial statements. TLC is generally no longer subject to U.S. federal and state income tax examinations by tax authorities for years before 2010.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0The consolidated financial statement effects of a tax position taken or expected to be taken are recognized in the consolidated financial statements when it is more likely than not, based on the technical merits, that the position will be sustained upon examination.
