Governance Explanations

Form 990, Part VI, Section A, line 2

Harry and Echo Vanderwal have a family relationship.

Form 990, Part VI, Section B, line 11B

The Form 990 is prepared by an independent CPA firm. The Form 990 is then reviewed in detail and approved by the Executive Director and Board before it is filed with the IRS.

Form 990, Part VI, Section B, line 12C

Officers and board members sign annual conflict of interest statements. The Board and Executive Director monitor all transactions for potential conflicts of interest. If a potential conflict is identified, the person with a conflict recuses his or herself from the decision making process and the independent board members vote whether or not to proceed with the transaction if it is in the best interest of the organization.

Form 990, Part VI, Section B, line 15A

The Executive Directors' compensation was approved by the independent members of the board. Comparability data was used during the process. The approval process was documented in the board minutes. There were no other officers or key employees compensated by the organization. Therefore, Line 15b was answered no in accordance with the instructions.

Form 990, Part VI, Section C, line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available upon request.

Supplemental Narrative

Additional Explanations

Form 990, Part III, Line 1

The Luke Commission (TLC) uses a Comprehensive Compassionate Care model to deliver medical services to underserved populations in Eswatini (formerly Swaziland), a small, landlocked country in southern Africa. A growing team of Swazi nationals has been trained to lead and implement all aspects of the model. Eswatini is a country of 1.2 million people with the highest HIV/AIDS rate worldwide-women of childbearing age have an HIV+ rate of over 45%. Although the HIV/AIDS epidemic has plateaued, the work of caring for those who live with HIV in the underserved areas of Eswatini and the continued need for HIV prevention, care and treatment necessitates the work of TLC. TLC delivers medical services through mobile medical hospital outreaches and at fixed inpatient and outpatient facilities at its centrally-located base of operations (Miracle Campus). The Miracle Campus offers all outreach services plus additional services such as emergency medical care, mental health, critical care, and palliative care. Lack of transportation is a critical barrier to underserved populations receiving healthcare. TLC's mobile hospital outreach model overcomes this barrier by delivering health services directly to patients in remote communities. In addition, TLC offers transport reimbursement for patients who come for care to the Miracle Campus. More than 650 patients are treated at each mobile hospital outreach. TLC offers testing for chronic diseases such as diabetes, hypertension, TB, and HIV/AIDS in an integrated healthcare context. In 2018, approximately 67,000 patients were treated at 113 mobile hospital outreaches. Those with sight problems received eyeglasses, all-terrain wheelchairs were given to the disabled, packets of medications were dispensed, and clothing and shoes were given to orphans and vulnerable children. In 2018, approximately 454,000 medical treatments were delivered

Form 990, Part X, Lines 27-29:

In accordance with the principles of FASB ASU 2016-14 (ASC 958), the organization has implemented required changes to its audited financial statements for the period ended 12/31/2018. To date, Form 990 and its associated schedules have not been updated to reflect changes made by this standard. Thus, we have reported the revised net asset categories from the audited financial statements as follows on Form 990, Part X, Lines 27-29: Line 27 - Net assets without donor restrictions $6,454,303 Line 29 - Net assets with donor restrictions $ - Total net assets $6,454,303
