The board of directors conducts an annual review of total compensation and benefits for all officers and key employees. Part of the review is to determine which employees are officers or key employees. The review is based on comparable compensation data for similarly qualified persons in functionally comparable positions at similarly situated organizations. The board retains an outside, independent compensation consultant to provide market data for salaries and bonuses. The board also documents its deliberations and decisions as to any changes to be implemented in compensation or benefits for the designated persons.
