Governance Explanations

Form 990, Part VI, Section A, line 4

By Laws were ammended to adopt Board of Directors term limits. Each director shall hold office for a term of up to three (3) years. Directors may be elected for up to two (2) consecutive terms. After one year or longer not serving as a Director, an individual may be elected to a third term. An initial term of one year or less shall not be counted towards these limits. Directors shall be considered to have served one term upon the completion of any term in effect during 2016.

Form 990, Part VI, Section B, line 11B

Prior to filing, the finance committee members, with the assistance of the chief executive officer and chief finance officer, review and approve form 990 and provide a complete copy to all members of the board of directors.

Form 990, Part VI, Section B, line 12C

Directors, officers and key employees disclose any conflicts of interest on an annual basis in written form. The Board of Directors and Chief Executive Officer determine whether conflicts exist and review any that are identified.

Form 990, Part VI, Section B, line 15

The Board of Directors conducts an annual review of total compensation and benefits for all officers and key employees. Part of the review is to determine which employees are officers or key employees. The review is based on comparable compensation data for similarly qualified persons in functionally comparable positions at similarly situated organizations. The Board retains an outside, independent compensation consultant to provide market data for salaries and bonuses. The Board also documents its deliberations and decisions as to any changes to be implemented in compensation or benefits for the designated persons.

Form 990, Part VI, Section C, line 19

The organization makes its articles of incorporation, bylaws, conflict of interest policy and audited financial statements available to the public upon request.
