Part V: Statements Regarding Other IRS Filings and Tax Compliance

“Line 2a Florida Lambdarail has no employees. All personnel services, including payroll, are provided by contract through third party providers. Part VI: Governance, Management, and Disclosure Section A, Line 6 There are 12 member institutions. Line 7a Board members are elected in staggered three year terms by majority vote of the organization's members. Line 7b Consent ratification and approval by a majority of directors is required in order to constitute an action from the board of directors. Section B, Line 11b Form 990 and accompanying schedules are prepared by an independent accounting firm. The completed 990 and accompanying schedules are placed on the corporate private website and all board members are invited to review and comment prior to filling the return. All questions and issues are resolved with the independent accounting firm prior to filing with the internal revenue service center. Line 12c the board of directors and key personnel are required to review and confirm conflict of interest policy compliance once a year at the August board meeting. All known or potential conflicts are resolved with the chairman of the board. Line 15 CEO and other officers' salaries are compared to similar organizations in the geographical area. CFO salary is compared with published salary data from accounting organizations citing other not-for-profits in the region with financial similarities. Section C Line 19 The organization makes its governing documents, conflict of interest policy and three most current years of Forms 990 available to the public upon written request. Part VII: Officers, Directors, Trustees and Key Employees Section A, Line 1a All payroll, human resources, and employee benefits are provided by contract through third party providers. Part IX: Statement of Functional Expenses Lines 5,7,8,9,and 10 The information reported on these lines is based on contracted service agreements with third party providers. Line 11g Network Operation Service Centers - paid to the University of Florida and reported as payments to independent contractors.”
