Governance Explanations

The return in prepared internally by the board's treasurer. The draft is reviewed by the grants manager and the executive director. Prior to filing the return it is made available to by the entire board.

Form 990, Part VI, Section B, Line 12C

Jpi requires staff and board members to review and sign the conflict of interest policy on a yearly basis. Jpi requires, in writing, explanations or descriptions of any potential conflict of interest prior to entering into any agreement. In the event of a conflicting interst, the member that the conflict relates to is required to be recused from voting on those issues.

Form 990, Part VI, Section B, Line 15

A comparison of salaries for executive directors of organizations with similar size and mission as jpi were used to determine the salary range of jpi's executive director. The board conducts performance reviews annually to deliberate and determine salary adjustments for the executive director. This discussion is documented in the board's executive session minutes.

The fasb has released fasb asc 740-10, income taxes, that provides guidance for reporting uncertainty in income taxes. For the year ended december 31, 2021, jpi has documented its consideration of fasb asc 740-10 and determined that no material uncertain tax positions qualify for either recognition or disclosure in the financial statements. The federal form 990, return of organization exempt from income tax, is subject to examination by the internal revenue service generally for three years after it is filed. Tax year ending december 31, 2020, 2019, ans 2018, remain open with both federal and state taxing authorities.
