Governance Explanations

The return in prepared internally by the board's treasurer. The draft is reviewed by the grants manager and the executive director. Prior to filing the return it is made available to by the entire board.

Form 990, Part VI, Section B, Line 12C

Jpi requires staff and board members to review and sign the conflict of interest policy on a yearly basis. Jpi requires, in writing, explanations or descriptions of any potential conflict of interest prior to entering into any agreement. In the event of a conflicting interst, the member that the conflict relates to is required to be recused from voting on those issues.

Form 990, Part VI, Section B, Line 15

A comparison of salaries for executive directors of organizations with similar size and mission as jpi were used to determine the salary range of jpi's executive director. The board conducts performance reviews annually to deliberate and determine salary adjustments for the executive director. This discussion is documented in the board's executive session minutes.

Form 990, Part VI, Section C, Line 19

The governing documents, conflict of interest policy, and the financial statements are made available upon request.

PART X, LINE 2:

The organization is exempt from federal income tax under section 501(c)(3) of the internal revenue code ( the code), except as to income from unrelated business activities, and has been determined by the internal revenue service not to be a private foundation within the meaning of section 509(a) of the code. The organization required that a tax position be recognized or derecognized based on a "more-likely-than-not" threshold. This applies to positions taken or expected to be taken in a tax return. The organization does not believe its financial statements include, or reflect, any uncertain tax positions.
