Governance Explanations

Form 990, Part VI, Section B, Line 11

Upon completion of the draft 990, it is submitted electronically to play rugby's finance committee for review. The finance committee is chaired by play rugby's treasurer and consists of four board members. The finance committee meets to discuss the 990 and submits any questions, either in writing to the ceo, or by inviting the ceo to attend the meeting and answer questions live. Upon the finance committees satisfaction with the draft 990 after any revisions have been made, the final 990 is submitted to the board with a recommendation from the finance committee for the executive committee of the board to approve the 990. Approval can be received by a majority of the executive committee.

Form 990, Part VI, Section B, Line 12C

Per our audit committee charter, the process and responsibility for upholding the coi is handled by the audit committee annually. All new/elected board members and officers are required to sign a statement when they join the board agreeing to the terms of the coi. Thereafter, annually, the chairman of the audit committee (who is also legal advisor to the executive committee) submits the coi along with any changes to the chairman of executive committee, who in turn reiterates the policy to the board at one of the first two board meetings of the year. Board members are asked to re-sign the policy to acknowledge their understanding and adherence to the policy.

Form 990, Part VI, Section B, Line 15A

The ceo's compensation was proposed by the chairman to the executive committee, based upon comparative analysis to other non-profit organizations of similar size in new york city. The chairman used the guidestar and pnp non profit salary reports, along with the ceo's historic compensation to determine the appropriate level for 2015. The analysis and recommendation was made to the executive committee and submitted to the board at the january 2015 meeting. During the meeting, the ceo was asked to leave the room. The board debated the compensation and unanimously approved an increase for 2015, subject to when the organization was in a position to be able to afford such. The approval is documented in the january board meeting minutes. The increase, approved in january, was put into effect in july 2015 once the executive committee were comfortable that cash-flow was adequate enough to cover.

Play rugby usa is achieving its vision of creating "a better world through rugby" by providing young people, primarily from underserved backgrounds, with a vitality for life both on and off the rugby field. Prusa started with 75 children from a homeless shelter in brooklyn and now supports over 5,500 young people per year with 15,000 hours of program delivered across over 300 schools and three cities. Prusa employs 15 full time and over 50 hourly staff each year. Prusa's mission of "developing youth through rugby" provides young people with positive pro-social participation, team membership & identity, skill development and ultimately, successful habits. The innovative program is designed intentionally towards the delivery of positive social outcomes that result in material improvements in students' educational success, health, community influence and future potential. Based upon tying programmatic outcomes to third-party research, prusa is able to demonstrate that it reduces risk factors for the most at-risk youth four-fold and can generate a significant incremental lifetime value to society each year, multiples greater than its operating budget.

The following reflect our top 10 "on the field" activities for 2015 through which we proudly achieved our mission: 1. Sports system redesign & green cards reviewing and refining our model with the introduction of green cards. Encouraging players and supporters to "catch the positive" by rewarding positive values and sportsmanship at tournaments - both on and off the field. 2. Webb ellis trophy tour at ps208 the rugby world cup trophy visits our junior sports leadership academy and our kids from ps75 and ps208 compete under the watchful eye of alex corbisiero in a 6 team round robin tournament. Alex is so inspired, he generously pledges support for the program. 3. Manhattan rfc growth & success our community program manhattan rfc grows to 140 participants providing a pathway from our ruggertots program (4 years+) though to u18. U12 & u14 teams go undefeated in the league. 4. Rugby-for-good coach training outcomes the continued evolution of our coach education is inspiring. The complete accreditation consisting of 12 hours integrating our unique "values in action" has resulted in incredibly positive cultures across participating teams, exhibited by coach-mentors role modeling and young participants becoming "culture keepers". 5. All star pathways having created our ny rugby academy 3 years ago, we are proud to have created a pathway for our promising young athletes to to on to represent college, club and all star teams. 2 girls represented atlantis u20s 7's team going 5-1 in las vegas elite 7s competition; 9 girls represented the empire state all star team (combined ny & nj); 8 girls - graduates from our program, represented old blue rfc's first ever women's 7's team and competed in the national championships. 6. Prusa urban rugby cup series a record 120 teams participated in our elementary and middle school flag rugby tournaments across nyc, la and san francisco. 7. 100% high school graduation rate every single one of our 2014-15 rugby academy players graduated from high school. 80% went to college and managed to earn $500,000 in college scholarships. 8. Prusa academy girls win ny state championship in their first year in the 15-a-side league, our academy girls won the ny state championship. 9. Academy sevens series successes our girls won the regional summer 7's series and our boys won the fall 7's series, showing great leadership being largely empowered to be self-coached at tournaments with direct support of recent program graduates and oversight of our academy manager. Players managed their own selections and substitutions. 10. Inaugural fall high school flag rugby league the pilot of our first ever high school flag rugby league - a short series 3 tournaments for 10 boys and girls teams was a great success, offering an opportunity for high school players to compete and excel in a fun & friendly competitive environment. These top 10 "on the field" moments were supported, enriched and enabled by our top 10 "off the field" moments: 1. Welcoming our best board ever. The "play rugby usa 1st xv": fifteen new board members started on january 1 and have already made an incredibly positive impact on the development of play rugby usa. We're thrilled to boast 88% board member attendance at meetings and considerable activation across numerous initiatives and events which has resulted in a broader support network and new private funds being secured. Effective january 1, 2015 greg sigrist was voted in to take on the chairman role from mark griffin. 2. Presentations, facilitation & conference attendance in the field of sports for social change we continued to be invited to participate, present and facilitate at various conferences and workshops throughout the year in the sports for social change space which enables us to network with other like minded organization and showcase our program design to attendees. 3. Management has determined that the organization had no uncertain tax positions that would require financial statement recognition or disclosure.
