“The 990 is presented to the full board and is reviewed before being filed.”
“All members of the board must complete the conflict of interest statement upon joining the board and update the statement at least once a year. Board members must immediately notify the board executive committee of any matters that may result in real or apparent conflicts of interest by submitting a conflict of interest statement. Employment that creates a conflict of interest, or the appearance of such, must be disclosed on the conflict of interest statement. Conflict of interest statements are updated annually at the board's annual meeting and are reviewed by the executive director and the board president. They are monitored annually or as needed as the organization becomes aware of potential conflicts of interest. Should there be a conflict of interest presented that would impede the decision making of the board member on matters of the organization, that board member is asked to refrain from any discussion and/or decision where the conflict is an issue. If the conflict is such that it would involve all decision making regarding the organization, the board member is asked to resign from his or her position on the board.”

In accordance with asc 740-10-50, the organization recognizes the tax benefits from uncertain tax positions only if it is more likely than not that the tax position will be sustained on examination by the taxing authorities.
