Governance Explanations

Form 990, Part VI, Section B, Line 11B

The 990 is presented to the full board and is reviewed before being filed.

Form 990, Part VI, Section B, Line 12C

All members of the board must complete the conflict of interest statement upon joining the board and update the statement at least once a year. Board members must immediately notify the board executive committee of any matters that may result in a real or apparent conflict of interest. Employment that creates a conflict of interest, or the appearance of such, must be disclosed on the conflict of interest statement. Conflict of interest statements are updated annually at the board's annual meeting and are reviewed by the executive director and the board chair. They are monitored annually as the organization becomes aware of potential conflicts of interest. Should there be a conflict of interest presented that would impede the decision making of the board member on matters of the organization, that board member is asked to refrain from any decision where the conflict is an issue. If the conflict is such that it would involve all decision making regarding the organization, the board member is asked to resign from his or her position on the board.

Form 990, Part VI, Section B, Line 15

The executive director's compensation is approved by the board during the budget approval process.

Form 990, Part VI, Section C, Line 19

The governing documents, conflict of interest policy, financial statements, and informational tax filings are made available to the public upon request.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from federal income tax under section 501(c)(3) of the internal revenue code. However, income from certain activities not directly related to the organization's tax-exempt purpose is subject to taxation as unrelated business income. In accordance with asc 740-10-50, the organization recognizes the tax benefits from uncertain tax positions only if it is more likely than not that the tax position will be sustained on examination by the taxing authorities. Management believes that the organization is currently operating in compliance with the applicable requirements of the internal revenue code. Therefore, no liability for unrecognized tax benefits has been included on the organization's financial statements.
