“Gdi hires an independent cpa firm to prepare federal form 990. After the preparation of federal form 990, management reviews the draft federal form 990. Once any questions or corrections are addressed, the draft federal form 990 is then distributed to the full board of directors prior to electronically filing with the internal revenue service.”

Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person has received a copy of the conflict of interest policy, has read and understands the policy and has agreed to comply with the policy. In the event a conflict of interest exists, an interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. Then, the chair of the board of directors or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the board of directors or committee shall determine whether gdi can obtain with reasonable efforts, a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest.”

“In order to determine the officers' compensation, members of the board of directors reviewing comparable data informed by market research and outside counsel as well as various salary surveys. After reviewing the necessary data, members of the board of directors will make a final decision regarding the final compensation amounts for all officers. A compensation survey was last used in 2020 for 1/1/2021.”
