The organization emails all of its governing body members a link to a password-protected board website on which the form 990 (with schedule b redacted to protect donor identity) can be viewed, and notes in the email that the form 990 is available for a review on that site.

Form 990, Part VI, Section B, Line 12C

For purposes of this provision, the term "interest" shall include personal interest, interest as a director, officer, member, stockholder, shareholder, partner, manager or beneficiary of any concern or having an immediate family member who holds such an interest in any concern. The term "concern" shall mean any corporation, association, trust, partnership, limited liability entity, firm, person or other entity other than quebec-labrador foundation, inc. (the organization"). No director, officer or key employee of the organization shall be disqualified from holding any office or post in the organization by reason of any interest in any concern. A director, officer or key employee of the organization shall not be disqualified from engaging, either as vendor, purchaser or otherwise, or contracting or entering into any transaction with the organization or with any entity of which the organization is an affiliate, provided, however, that the following precautions are undertaken: 1. The interest of such director, officer or key employee is fully disclosed to the board of directors prior to its entering into the transaction. 2. No interested director, officer or key employee may vote or lobby on the matter or be counted in determining the existence of a quorum at the meeting of the board of directors at which such matter is voted upon. 3. Any transaction in which a director, officer or key employee has an interest shall be duly approved by the disinterested board members as being in the best interests of the organization. 4. Payments to the interested director, officer or key employee shall be reasonable and shall not exceed fair market value. 5. The minutes of meetings at which such votes are taken shall record such disclosure, abstention, and rationale for approval. The foregoing procedures shall not be required if the interest of the affected director, officer or key employee consists of direct or indirect ownership of 1% or less of public traded securities of the concern or if the transaction is de minimis in relation to the organization's assets or revenues. Directors, officers and key employees are required to disclose their interests that could give rise to conflicts of interest at least annually. The conflict of interest policy and annual disclosure statement are mailed to the board of directors, officers, and key employees of the quebec-labrador foundation. The signed disclosure statement is collected and reviewed by the president of the organization, elizabeth alling.

Form 990, Part III, Line 4A

The qlf marine bird conservation program, which was established in 1978 to address the rapid decline of seabird populations along the north shore of the gulf of st. Lawrence, serves as a model for qlf's flagship community-based conservation programs to include biodiversity conservation. As threats to seabirds were reduced, nesting populations increased, and people were empowered as stewards of their resources. Over time, the program became recognized internationally for testing and proving the effectiveness of community-based strategies in achieving conservation objectives. Continuing in the spirit, legacy, and vision of the marine bird conservation program, the biodiversity conservation program includes a series of projects that are managed in massachusetts: recovery of marine species at risk & restoration of coastal habitats; community-based conservation to support climate change resilience; conservation of seabirds and sea ducks; and piping plover conservation. The sounds conservancy marine research program the sounds conservancy is a marine research program along the six sounds, estuaries, and coastal waters of southern new england and new york (long island, fishers island, block island, rhode island, martha's vineyard, and nantucket sound). The program is designed to work with practitioners and researchers to protect the sounds and its coastal waters, support research and environmental policy, environmental education and community outreach. In 2018 sounds conservancy staff provided small grant awards to fellows or graduate students, mid-level and senior professionals with expertise in marine conservation and marine biology and who represent leading academic institutions and conservation organizations. For example, a grantee with the great gull island project (long island sound) is leading the oldest longitudinal study of the migration of common and roseate terns in the western hemisphere. Other grantees are directing studies on coastal water birds, and the impact of climate change on coastal environments. In 2018, program staff also completed an extensive electronic publication, the sounds conservancy 1995 2018, which documents nearly two and a half decades of research by sounds conservancy grantees, and documenting the marine research by sound, year, and subject. Under the direction of a community mapping and gis specialist, qlf launched the program's interactive website (2014) which maps the research of fellows and provides a narrative of the research, affiliation, year of research, and geography. Each sounds conservancy fellow has access to the online platform. In 2018, program staff worked with sounds conservancy grantees to encourage online communication among our network of sounds conservancy alumni and to facilitate online discussion with sounds conservancy grantees to share research and innovation. Staff also convene program alumni online which has resulted in new conservation partnerships along the sounds and coastal waters of new england. Members of qlf's global leadership network, sounds conservancy fellows also convene with qlf alumni worldwide who share common marine conservation challenges and opportunities. The stewardship program in 1981, qlf created the international stewardship program with a regional and international focus designed to foster an exchange of experience and innovations among organizations and individuals in other parts of the world where communities and regions face similar challenges and opportunities. Organized around a thematic focus on stewardship efforts to create, nurture, and enable responsibility in landowners and resource users to manage and protect land and its natural and cultural heritage the program works on a regional basis and also within global frameworks. The program is directed by qlf's senior program staff member and much of the regional work was directed in partnership with the national park service stewardship institute, which advances innovation in collaborative cons

The organization accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. The organization has identified its tax status as a tax exempt entity and its determination as to income being related or unrelated as its only significant tax position; however, the organization has determined that such tax positions do not result in an uncertainty requiring recognition. The organization is not currently under examination by any taxing jurisdiction. CONSERVATION LEADERSHIP IS A HALLMARK OF OUR PROGRAMS. QLF INVESTS IN THE NEXT GENERATION OF ENVIRONMENTAL LEADERS THROUGH A ROBUST CONSERVATION INTERNSHIP PROGRAM FOR UNDERGRADUATE AND GRADUATE STUDENTS. EACH YEAR, QLF SUPPORTS UP TO 24 INTERNS WHO REPRESENT ACADEMIC INSTITUTIONS WORLDWIDE AND WHO ARE ASSIGNED TO PROGRAMS IN QLF'S HOME REGION: NEW ENGLAND AND EASTERN CANADA. INTERNSHIPS PROVIDE HANDS-ON, EXPERIENTIAL TRAINING IN BIODIVERSITY CONSERVATION FOR VOLUNTEERS (HIGH SCHOOL STUDENTS) AND INTERNS (UNIVERSITY UNDERGRADUATE AND GRADUATE STUDENTS AND YOUNG CONSERVATION PROFESSIONALS). INTERNSHIPS PROVIDE FIELD EXPERIENCE WORKING WITH COMMUNITIES IN MANAGING NATURAL RESOURCES, PROMOTING INITIATIVES TO SECURE SUSTAINABLE DEVELOPMENT, AND PARTICIPATING IN CONSERVATION EDUCATION AND OUTREACH. INTERNS LEARN ABOUT THE MANY CHALLENGES OF SPECIES CONSERVATION WHILE THEY WITNESS FIRST-HAND THE IMPACTS OF POLLUTION AND CLIMATE CHANGE THAT AFFECT RURAL COMMUNITIES AS WELL AS WILDLIFE. THE 2018 LEADERSHIP PROGRAM DIRECTED TWO-DOZEN INTERNSHIPS WITH THE FOLLOWING PROGRAMS: BIODIVERSITY CONSERVATION PROGRAM AND ITS PROJECTS AND THE SOUNDS CONSERVANCY MARINE RESEARCH PROGRAM ALONG THE SOUNDS AND COASTAL WATERS OF SOUTHERN NEW ENGLAND AND NEW YORK. AS WELL, QLF OFFERS INTERNSHIPS IN COMMUNICATIONS WHEREBY INTERNS WRITE ARTICLES ON QLF'S NETWORK OF ALUMNI WHO ARE PROMINENT IN CONSERVATION WORLDWIDE. THIS NETWORK IS NAMED THE GLOBAL LEADERSHIP NETWORK AND CONSISTS OF MORE THAN 5,000 INDIVIDUALS AND PARTNER ORGANIZATIONS TO INCLUDE FORMER VOLUNTEERS, INTERNS, SOUNDS CONSERVANCY FELLOWS, INTERNATIONAL FELLOWS OF QLF'S REGION-TO-REGION CONSERVATION EXCHANGE PROGRAMS, AND LEADERS FROM REGIONAL PARTNER ORGANIZATIONS. QLF ALUMNI REPRESENT SEVENTY-FIVE COUNTRIES IN OUR HOME REGION (NEW ENGLAND AND EASTERN CANADA); AND EUROPE; CENTRAL AND SOUTHEAST EUROPE; LATIN AMERICA AND THE CARIBBEAN; THE MIDDLE EAST, NORTH AFRICA, AND THE GULF STATES; EAST AND SOUTHEAST ASIA. IN 2018, STAFF AND CONSULTANTS HAVE COMPLETED THE MAPPING OF ALUMNI WORLDWIDE AND HAVE CONSTRUCTED AN INTERACTIVE WEBSITE, THE GLOBAL LEADERSHIP NETWORK ONLINE OR GLN ONLINE, WHICH ALLOWS ALUMNI ACCESS TO SET UP AN ACCOUNT, POST RESEARCH, NETWORK AND CONVENE ONLINE. IN 2018, INTERNS INTERVIEWED ALUMNI AND WROTE DOZENS OF ARTICLES THAT ARE POSTED ON QLF'S WEBSITE: WWW.QLF.ORGTHE SCHOLARSHIP PROGRAM - QLF MANAGEMENT AND STAFF DIRECTED THE SCHOLARSHIP PROGRAM, WHICH PROVIDES SUPPLEMENTAL FINANCIAL SUPPORT TO UNIVERSITY STUDENTS IN OUR HOME REGION. A SCHOLARSHIP DIRECTORY IS REVISED EACH YEAR AND ARCHIVES THE NAMES OF THE RECIPIENTS, ACADEMIC AFFILIATION, AND FIELD OF ACADEMIC STUDY. ESTABLISHED IN 1964 BY QLF'S FOUNDER, ROBERT A. BRYAN, THE SCHOLARSHIP PROGRAM IS SET TO PROVIDE EDUCATIONAL OPPORTUNITY AND ACADEMIC SUPPORT FOR PROMISING UNDERGRADUATE AND GRADUATE STUDENTS FROM THE MARITIMES, NEWFOUNDLAND AND LABRADOR, AND THE QUEBEC NORTH SHORE. OVER FIVE DECADES, THE PROGRAM HAS EXPANDED ITS REACH PROVIDING FINANCIAL ASSISTANCE TO STUDENTS ACROSS QLF'S HOME REGION. IN A GIVEN YEAR, AS IN 2018, THE PROGRAM PROVIDED A DOZEN SCHOLARSHIPS. THE SCHOLARSHIP PROGRAM HAS BEEN RESTRUCTURED COMMENSURATE WITH CURRENT PROGRAMS DESIGNED TO ADDRESS AND MEET THE NEEDS OF RURAL COMMUNITIES IN OUR HOME REGION AND BEYOND. THE REVISED PROGRAM ALLOWS FOR QUICK TURNAROUND AND IS MORE COST EFFECTIVE. AS SUCH THE SCHOLARSHIP PROGRAM OPERATES AS A REVOLVING FUND, WHEREBY DISCRETIONARY AWARDS ARE TO BE DIRECTED BY SENIOR MANAGEMENT FOR EDUCATIONAL PURPOSES TO INCLUDE ACADEMIC SCHOLARSHIPS, FELLOWSHIPS, STUDY TOURS, AND OTHER EDUCATIONAL OPPORTUNITIES. EACH YEAR, STAFF AND CONSULTANTS LEAD A DOZEN WORKSHOPS IN ENVIRONMENTAL EDUCATION FOR AN AVERAGE OF 300 YOUTH IN COMMUNITIES ALONG THE GREAT NORTHERN PENINSULA OF NEWFOUNDLAND, SOUTHERN LABRADOR, AND THE QUEBEC NORTH SHORE. WORKSHOPS ARE DESIGNED TO SHARE CONSERVATION KNOWLEDGE AND EXPERTISE ON LOCAL AND REGIONAL CONSERVATION ISSUES. WORKSHOPS ARE DESIGNED TO PROVIDE PRACTICAL INFORMATION AND SKILLS TO IDENTIFY SEABIRDS, SEA DUCKS, AND MARINE SPECIES AT RISK AND COMMUNITY-BASED NATURAL RESOURCE MANAGEMENT; ADDRESS THE IMPACT OF CLIMATE CHANGE IN-REGION THROUGH BIODIVERSITY CONSERVATION. SPECIAL PROJECT: INTERNATIONAL CONSERVATION EXCHANGE PROGRAMINTERNATIONAL CONSERVATION EXCHANGES ARE AMONG QLF'S HIGHEST PRIORITIES AND HAVE BEEN A HALLMARK OF OUR PROGRAMS OVER FOUR DECADES. THESE PROGRAMS FOSTER AN EXCHANGE OF KNOWLEDGE, EXPERTISE, AND INNOVATION ACROSS REGIONAL BORDERS WHILE PROMOTING INTERNATIONAL COOPERATION BETWEEN INDIVIDUALS, RURAL COMMUNITIES, AND REGIONS WORLDWIDE THAT SHARE CONSERVATION CHALLENGES AND OPPORTUNITIES. HISTORICALLY, INTERNATIONAL FELLOWS WHO HAVE PARTICIPATED IN QLF'S CONSERVATION EXCHANGES REPRESENT 75 COUNTRIES AND SIX REGIONS ACROSS THE GLOBE. EXCHANGE PROGRAMS CONSIST OF STUDY TOURS AND SITE VISITS WITH PARTNER ORGANIZATIONS; MEETINGS, SEMINARS AND WORKSHOPS WITH LOCAL AND REGIONAL PRACTITIONERS; AND SPECIAL ASSIGNMENTS WITH REGIONAL CONSERVATION ORGANIZATIONS. BETWEEN ASSIGNMENTS THERE IS TIME FOR DISCUSSION, SHARING BEST PRACTICES, AND ESTABLISHING NEW COLLABORATIVE INITIATIVES AND PARTNERSHIPS. THE IMPACT OF CONSERVATION EXCHANGES IS FAR REACHING TO THE INDIVIDUAL PARTICIPANTS, PARTNER ORGANIZATIONS, AND QLF'S NETWORK OF ALUMNI WHO SHARE A CONSERVATION ETHIC THAT IS CRITICALLY IMPORTANT TODAY IN A WORLD OF CHANGING CLIMATE. THE MIDDLE EAST CONSERVATION EXCHANGE PROGRAM - SINCE 1992, QLF HAS DIRECTED FELLOWSHIPS AND EXCHANGE PROGRAMS FOR CONSERVATION LEADERS FROM THE MIDDLE EAST AND NORTH AMERICA. PROGRAM ALUMNI NOW REPRESENT LEADING ENVIRONMENTAL ORGANIZATIONS ACROSS THE REGION THE MIDDLE EAST, NORTH AFRICA, AND THE GULF STATES. A CENTRAL THEME OF THE PROGRAM IS USING THE ENVIRONMENT AS A BRIDGE TO MUTUAL UNDERSTANDING, ALLOWING FOR COLLABORATIVE CONSERVATION ACROSS BORDERS ACROSS GEOGRAPHY, POLITICAL BOUNDARIES, CULTURAL FRAMEWORKS, AND SOCIOECONOMIC BORDERS.THE MIDDLE EAST CONSERVATION EXCHANGE PROGRAM HAS TRADITIONALLY FOCUSED ON SPECIFIC THEMES THAT IMPACT CONSERVATION LEADERS IN-REGION, INCLUDING MIGRATORY BIRDS; CONSENSUS BUILDING AND COLLABORATIVE CONSERVATION; ENVIRONMENTAL CONFLICT RESOLUTION; ENVIRONMENTAL AND SOCIAL JUSTICE; NATURAL RESOURCE MANAGEMENT; AND WILDLIFE CONSERVATION. IN THE AFTERMATH OF REGIONAL CONFLICT, THERE IS AN EVER-PRESSING NEED FOR DIALOGUE BETWEEN ISRAELIS, PALESTINIANS, AND THEIR ARAB NEIGHBORS. QLF HAS ACCOMPLISHED MUCH, CONVENING LEADERS WHO SHARE A COMMON COMMITMENT TO THE CONSERVATION AND STEWARDSHIP OF THEIR COMMUNITY, REGION, AND THE GLOBAL ENVIRONMENT DESPITE THEIR CULTURAL AND POLITICAL DIFFERENCES.IN 2018, QLF PLANNED FOR A CONSERVATION EXCHANGE PROGRAM ON GLOBAL FLYWAYS TO TAKE PLACE ON THE RIFT VALLEY/RED SEA FLYWAYS IN ISRAEL AND JORDAN DURING THE SPRING OF 2019. THE EXCHANGE IS MANAGED IN PARTNERSHIP WITH LEADING CONSERVATION ORGANIZATIONS IN THE MIDDLE EAST AND CONSISTS OF AN INTERNATIONAL CONFERENCE AND WORKSHOP ON MIGRATORY BIRDS AND CONSERVATION OF THE WORLD'S GREAT FLYWAYS.
