Our mission is to create and sustain a residential care community in which people can age with grace, companionship, and peace of mind in a stimulating and secure environment. Governance Explanations

Form 990, Part VI, Section B, Line 11B

The organization has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate: when the form 990 has been reviewed by the ceo and director of finance and is ready to be filed with the internal revenue service, it is submitted electronically to all members of the governing body for any comments prior to its submission. All comments/questions are documented and addressed until the return is finalized and approved for filing.

Form 990, Part VI, Section B, Line 12C

The organization has a conflict of interest policy in place, which it annually monitors and enforces. The policy requires that all directors and employees must annually sign a conflict of interest policy and disclose any potential or actual conflicts that may exist. The signed conflict of interest policy is kept on file. In the event of a conflict of interest, the conflicted member must immediately disclose the existence and materiality of any conflicts to the chair. A conflicted member cannot vote or participate in the deliberations. All potential or actual conflicts of interest discussed or voted upon are documented in the organizations board minutes.

The compensation for the ceo is determined by the board of directors of the organization. The executive committee of the board of directors is delegated by the board to conduct performance reviews of the ceo and determines, subject to applicable general board of directors review and pursuant to applicable contractual obligations, annual compensation inclusive of any applicable incentive compensation award(s). The compensation review process was last undertaken for the ceo in 2022 and the approval is documented in the minutes of the board meetings. The compensation for "top management officials", "other officers and key employees are determined by executive leadership and is based on multiple factors including but not limited to: available market based information such as wage surveys, length of experience, employment/job performance, publicly available information as applicable, current trends and other comparable information. The approval is documented in the minutes of the board meetings.

PART IV, LINE 2B:

Resident funds held in trust are maintained in bank accounts separate from john e. Andrus memorial, inc.'s accounts. Interest earned on resident funds is credited to the residents' accounts.

PART V, LINE 4:

The endowment consists of a donor restricted endowment fund established for resident activities. The objective of the organization is to maintain the principal endowment fund at the orginal amount designated by the donor and to earn income on the funds. The investment policy is to achieve this objective to invest in low-risk securities. Interest earned in relation to the endowment funds is recorded as temporarily restricted income and releaed from restriction upon expenditure for the program for which the endowment fund was established.

PART X, LINE 2:

Jeam recognizes the effect of income tax positions only when the tax positions are more likely than not to be sustained. Management has determined that jeam had no uncertain tax positions that would require financial statement recognition or disclosure. Jeam is no longer subject to examinations by the applicable taxing jurisdictions for periods prior to 2019.
