Mission

Byrd hoffman water mill foundation a/k/a the watermill center (the "foundation"), incorporated in 1970, was founded for the development of emerging artists and the promotion of innovative performing and visual arts, as well as to collect, preserve, and exhibit various artworks. The foundation operates the watermill center (the "center"), which was founded in 1992 by robert wilson on eastern long island, new york. The center provides a place for study and participation in the artistic and theatrical endeavors.

The form 990 is reviewed and revised as needed by the directors and the finance committee. The 990 is made available to all board members prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

Directors, officers, and all employees who can influence the actions of the organization (including any management personnel or individuals with proprietary information) are required to disclose any conflict of interest that may affect their ability to carry out the exempt purpose of the agency and are required to sign annual conflict of interest statements. It is the continuing responsibility of the board, officers and management employees to scrutinize their transactions and outside business interests and relationships for potential conflicts and to immediately make such disclosures. Disclosures are made to the director and ceo, who brings the matter to the attention of the board. Disclosures involving directors are made to the board chair, who shall bring these matters to the board. If a conflict of interest exists, it must be disclosed. The conflicting employee must be excluded from the discussion and approval of such transactions, a competitive bid or comparable valuation must exist, and the board must determine that the transaction is in the best interest of the organization. The decision of the board on these matters rests in their sole discretion. Final decisions are documented in the minutes.

The compensation committee of the board of directors reviews salaries of senior executives and managers of the foundation at least annually. In evaluating salaries the committee takes into consideration compensation paid by other comparable non-profit organizations for similar positions as well as the performance of the employee, the views of senior managers of the foundation and the financial capacity of the foundation. This procedure was last performed in january of 2013.

THROUGH PARTICIPATION, STUDENTS EXPLORE THE VISUAL AND PERFORMING ARTS, INCLUDING MUSIC, DANCE, THEATER, SCULPTURE, PHOTOGRAPHY AND MULTI-MEDIA WORK.BEGINNING IN FALL 2014, THE CENTER BEGAN AN EDUCATION PARTNERSHIP WITH THE BRIDGEHAMPTON AFTER SCHOOL CHILD CARE CENTER OFFERING WEEKLY WORKSHOPS UNIQUELY ENGAGING STUDENTS AGES 7 TO 13 IN THE VISUAL AND PERFORMANCE ARTS.CONTINUING IN SPRING AND FALL OF 2014, A FORMAL APPRENTICESHIP PROGRAM FOR STUDENTS AGES 11-13 OF THE HAYGROUND SCHOOL, AN ALTERNATIVE PRIMARY SCHOOL IN BRIDGEHAMPTON, NY, OFFERS OPPORTUNITIES TO RESEARCH THE CENTER'S COLLECTION.IN THE SPRING OF 2014, THE CENTER CONTINUED TO GIVE STUDENTS OF THE SOUTHAMPTON INTERMEDIATE SCHOOL'S DUAL-LANGUAGE PROGRAM THE OPPORTUNITY TO CREATE ORIGINAL THEATER WORK BASED ON CLASSROOM CURRICULUM.AN ANNUAL SCHEDULE OF FREE EVENTS AND EDUCATIONAL ACTIVITIES OFFERS MEMBERS OF THE COMMUNITY FIRST-HAND ACCESS TO THE CREATIVE PROCESS. THE PUBLIC IS INVITED TO OPEN REHEARSALS AND DISCUSSIONS BY ARTISTS-IN-RESIDENCE, TO GUIDED TOURS OF THE CENTER BUILDING AND GROUNDS, AND THE VIEWING OF SITE-SPECIFIC INDOOR AND OUTDOOR INSTALLATIONS BY INTERNATIONAL ARTISTS. THE PUBLIC IS ALSO INVITED TO ATTEND LECTURES AND FILM SCREENINGS FREE OF CHARGE.
