“The partnership for after school education has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate: when the form 990 has been prepared, it is first reviewed by management and any changes are incorporated by the outside accountants. The draft form 990 is then reviewed by the finance committee of the board of directors and additional changes, if any, are incorporated. Finally, once the form 990 is ready to be filed with the internal revenue service, a copy is electronically sent to the board members of the organization before filing.”
“All board members are required to sign a conflict of interest statement annually. Any director having a possible conflict of interest on any matter should make disclosure of such interests to the other directors. In the event of a conflict of interest, the director should not vote on the matter, but such director or member shall be counted in determining the quorum for the meeting. In the discretion of the chair of the board of directors, a director with a possible conflict of interest may be required to leave that portion of a meeting that considers the matter as to which there is a possible conflict. The minutes of the meeting should reflect the making of the disclosure, the abstention from voting, the quorum situation, and whether the director was present or absent when the matter was considered. Any officer of pase having a possible conflict of interest on any matter before such officer for administrative action shall report such conflict to the ceo or, in the case of the ceo, to the chair of the board of directors, and shall abstain from taking any administrative action on such matter pending further direction from the ceo or chair, as the case may be. WE ALSO CONTINUED OUR EXECUTIVE LEADERSHIP FOR SMALL AGENCIES COHORT, A COHORT OF 11 EXECUTIVE DIRECTORS LEADING ORGANIZATIONS WITH BUDGETS UNDER $500,000.
