Form 990, Part VI, Section B, Line 11B

The partnership for after school education has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate: when the form 990 has been prepared, it is first reviewed by management and any changes are incorporated by the outside accountants. The draft form 990 is then reviewed by the finance committee of the board of directors and additional changes, if any, are incorporated. Finally, once the form 990 is ready to be filed with the internal revenue service, a copy is electronically sent to the board members of the organization before filing.

Form 990, Part VI, Section B, Line 12C

All board members are required to sign a conflict of interest statement annually. Any director having a possible conflict of interest on any matter should make disclosure of such interests to the other directors. In the event of a conflict of interest, the director should not vote on the matter, but such director or member shall be counted in determining the quorum for the meeting. In the discretion of the chair of the board of directors, a director with a possible conflict of interest may be required to leave that portion of a meeting that considers the matter as to which there is a possible conflict. The minutes of the meeting should reflect the making of the disclosure, the abstention from voting, the quorum situation, and whether the director was present or absent when the matter was considered. Any officer of pase having a possible conflict of interest on any matter before such officer for administrative action shall report such conflict to the ceo or, in the case of the ceo, to the chair of the board of directors, and shall abstain from taking any administrative action on such matter pending further direction from the ceo or chair, as the case may be. The foregoing requirements shall not be construed as preventing any director or officer of pase from briefly stating his or her position in the matter, nor from answering pertinent questions of the other directors or officers of the pase.

Form 990, Part VI, Section B, Line 15A

The methods used to establish compensation for the ceo was determined by compensation surveys, an executive committee and the comparison of the form 990 of other organizations. This process was approved and documented in the board minutes. The compensation of the ceo is reviewed annually by the board chair and the executive committee of the board. The compensation review process was last undertaken in fy23. Decisions regarding compensation are documented in the minutes and in the personnel files.

The partnership for after school education (pase) is a child-focused organization that promotes and supports quality afterschool programs, particularly those serving young people from underserved communities. An innovative pioneer in the development and advancement of the afterschool field, pase was formed in 1993 to professionalize afterschool services so that providers could deliver consistent, high-quality programming to youth and increase their capacity to meet the needs of their communities. Pase is committed in providing to more than 1,600 organizations in our network with the support they need to provide the 500,000 young people in new york city's afterschool programs with the high-quality services they deserve. To accomplish our goals, pase strengthens afterschool agencies through expert training and management support designed to increase program effectiveness and efficiency; leads the afterschool field as a thoughtful innovator; connects diverse stakeholders to develop consensus on priorities and best practices; and champions the needs of frontline staff by reaching out to policy makers and the public.

The organization has a committee that assumes responsibility for the oversight of the audit of its financial statements and the selection of an independent accountant. The process did not change from the prior year.

The organization contracted with a professional employer organization (peo), adp totalsource, for services, including but not limited to, payroll, timekeeping, employee benefits, hr administration and workforce regulatory compliance needs. As the employer of record for tax purposes, forms w-2 and w-3 are issued by the peo and filed under the peo's federal ein. In this co-employment arrangement, the organization is the common law employer and, accordingly, compensation is reported on form 990, part vii, section a and part ix, lines 5-10.

The organization holds security deposits from subtenants who rent office space. These deposits are returned to these tenants once they vacate the property.

PART X, LINE 2:

Pase recognizes the effect of income tax positions only if those positions are more likely than not to be sustained. Management has determined that pase had no uncertain tax positions that would require financial statement recognition or disclosure. Pase is no longer subject to audits by the applicable taxing jurisdictions for periods prior to fiscal year 2021.

THE NONPROFIT SECTOR IN GENERAL, AND THE AFTERSCHOOL FIELD SPECIFICALLY, MUST MAINTAIN A ROBUST LEADERSHIP PIPELINE IN ORDER TO CONTINUE TRANSFORMING YOUNG LIVES AFFECTED BY POVERTY THROUGH QUALITY AFTERSCHOOL PROGRAMS.PASE'S LEADERSHIP DEVELOPMENT PROGRAMMING IN THE 2024 FISCAL YEAR INCLUDED PARTNERING WITH THE COLIN POWELL SCHOOL FOR CIVIC AND GLOBAL LEADERSHIP TO RELAUNCH EMERGING LEADERS IN NONPROFIT MANAGEMENT: A COURSE FOR YOUTH PROGRAM PROFESSIONALS, GUIDING A COHORT OF 21 NONPROFIT PROFESSIONALS THROUGH A COMPREHENSIVE THREE-MONTH COURSE IN NONPROFIT LEADERSHIP AND MANAGEMENT. WE ALSO CONTINUED OUR EXECUTIVE LEADERSHIP FOR SMALL AGENCIES COHORT, A COHORT OF 11 EXECUTIVE DIRECTORS LEADING ORGANIZATIONS WITH BUDGETS UNDER $500,000.
