Governance Explanations

Form 990, Part VI, Section A, Line 6

A designated representative of a member foundation may vote for the board of directors via an annual election. The board of directors is composed solely of member foundation staff.

Form 990, Part VI, Section A, Line 7A

A designated representative of a member foundation may vote for the board of directors via an annual election. The board of directors is composed solely of member foundation staff.

Form 990, Part VI, Section B, Line 11B

An electronic draft of the form 990 is prepared by outside cpa and reviewed and approved by management. An electronic copy of the form 990 is sent to all directors for their review and comment prior to filing.

Form 990, Part VI, Section B, Line 12C

All board members complete an annual conflict of interest form which lists the potentially conflicting constituencies, business relationships, and/or memberships on other boards of directors that they or members of their families hold. These forms are closely reviewed by the bfg executive director. If any potential conflict of interest or the appearance thereof presents itself, the executive director first discusses the situation with the person involved then presents the results of the inquiry to the board of directors for their decision and possible action.

Form 990, Part VI, Section B, Line 15

Reassessments of compensation include the use of comparability data. Routine annual adjustments to previously-established salary levels, is done with cost of living adjustments. All salary changes are approved by the board and/or equivalent supervisory body. The bfg board annually reviews the salaries budget as well as the basis for any changes in compensation. Their review and approval is recorded in the minutes. Only those members of the executive committee who are free of conflicts of interest may vote on the executive director compensation.

Form 990, Part VI, Section C, Line 19

Bfg makes its governing documents, conflict of interest policy, and financial statements available by providing copies upon request at the administrative office.

Supplemental Narrative

Additional Explanations

Form 990, Part XII, Line 2C

The process has not changed from prior year.

Form 990, Part XI, Line 8

During the year ended december 31, 2020, the organization identified an unconditional contribution of $80,000 designated for 2020 and 2021 that was promised during the year ended december 31, 2019 that was not recorded as contribution revenue during the year ended december 31, 2019 and was originally recorded as contribution revenue during 2020. The organization has elected to restate its 2019 financial statements to reflect the related contribution receivable and revenue as of and for the year ended december 31, 2019. As a result of the correction, the organization's contribution receivable and net assets with donor restrictions balances as of december 31, 2019 were increased by $80,000 and contribution revenue for the year ended december 31, 2019 was increased by $80,000.

Financial Statement Notes

PART X, LINE 2:

The organization is an exempt organization under section 501(c)(3) of the internal revenue code and 23701(d) of the state of california revenue and taxation code. However, the organization is subject to taxes on income, if any, that is unrelated to its exempt purpose. The organization has evaluated its current tax positions and has concluded that as of december 31, 2020 the organization does not have any significant uncertain tax positions for which a reserve would be necessary.
