“A designated representative of a member foundation may vote for the board of directors via an annual election. The board of directors is composed solely of member foundation representatives.”
“An electronic copy of the Form 990 is sent to all directors for their review and comment prior to filing.”
“All board members complete an annual conflict of interest form which lists the potentially conflicting constituencies, business relationships, and/or memberships on other boards of directors that they or members of their families hold. These forms are closely reviewed by the CGBD Executive Director. If any potential conflict of interest or the appearance thereof presents itself, the Executive Director first discusses the situation with the person involved then presents the results of the inquiry to the Board of Directors for their decision and possible action.”
“All employee salaries are regularly reviewed using comparability data, most recently in 2014. The Executive Committee of the CGBD Board of Directors annually reviews the comparibility data and the reasonableness of the compensation recommendation prior to approval. The comparibility data and basis for the decision are recorded in the minutes. Only those members of the Executive Committee who are free of conflicts of interest may vote on the Executive Director compensation.”
“CGBD makes its governing documents, conflict of interest policy, and financial statements available by providing copies upon request at the administrative office.”
“The cgbd is an exempt organization under section 501(c)(3) of the internal revenue code and 23701(d) of the state of california revenue and taxation code. However, the cgbd is subject to taxes on income, if any, that is unrelated to its exempt purpose. The cgbd has evaluated its current tax positions and has concluded that as of december 31, 2015 and 2014, the cgbd does not have any significant uncertain tax positions for which a reserve would be necessary.”

| IRS990/ProgSrvcAccomActy2Grp/Desc | 0 | THE CLIMATE AND ENERGY FUNDERS GROUP (CEFG), A PROGRAM OF THE CGBD, IS A NETWORK OF FOUNDATIONS THAT SUPPORT ORGANIZATIONS WORKING ON CLIMATE AND CLEAN ENERGY ISSUES. ITS MISSION IS TO CREATE A STRONG AND EFFECTIVE FUNDING COMMUNITY COMMITTED TO COMBATING CLIMATE CHANGE AND BUILDING A GLOBAL CLEAN ENERGY ECONOMY. THE CEFG SUPPORTS WORKING GROUPS ON UTILITIES AND POWERING THE FUTURE. THESE GROUPS MET THROUGH CALLS AND IN PERSON. THE 2015 ANNUAL MEETING WAS HELD IN ATLANTA, GEORGIA WITH THE HELP OF A SOUTHEAST-BASED GROUP OF FOUNDATIONS FUNCTIONING AS A HOST COMMITTEE. THE MEETING FOLLOWED ANOTHER CONVENING ON ELECTRIC VEHICLES. FAITH LEADERS WERE FEATURED ALONG WITH UPDATES ON CURRENT ISSUES IN THE CLEAN ENERGY ARENA. IN DECEMBER 2015, THE GLOBAL COMMUNITY CAME TOGETHER TO FORGE AN AGREEMENT SEEKING TO AVOID THE CATASTROPHIC IMPACTS OF CLIMATE CHANGE. CEFG PARTNERED WITH THE EUROPEAN CLIMATE FOUNDATION, EUROPEAN ENVIRONMENTAL GRANT MAKERS, EGA, EDGE, IPPI, AND FONDATION CHARLES LEOPOLD MAYER TO COORDINATE FUNDERS AROUND COP21. A SERIES OF LEARNING WEBINARS LED UP TO COP21 AND FORMED A SEPARATE DISCUSSION, INFORMATION AND STRATEGY-SHARING PLATFORM FOR FUNDERS. OVER 200 FUNDERS PARTICIPATED IN MEETINGS, BRIEFINGS, AND OTHER EVENTS IN PARIS. CEFG HOSTED 15 WEBINARS REACHING MORE THAN 600 FUNDERS ON TOPICS FROM RURAL ELECTRIFICATION TO OFFSHORE WIND. CEFG PRODUCED AND DISTRIBUTED A MONTHLY ELECTRONIC NEWSLETTER TO MORE THAN 300 INDIVIDUALS REPRESENTING MORE THAN 100 FOUNDATIONS. THE PURPOSE OF THE NEWSLETTER IS TO FOSTER COMMUNITY, SHARE INFORMATION AND DEEPEN ENGAGEMENT. |
