All board members complete an annual conflict of interest form which lists the potentially conflicting constituencies, business relationships, and/or memberships on other boards of directors that they or members of their families hold. These forms are closely reviewed by the CGBD Executive Director. If any potential conflict of interest or the appearance thereof presents itself, the Executive Director first discusses the situation with the person involved then presents the results of the inquiry to the Board of Directors for their decision and possible action.

All employee salaries are regularly reviewed using comparability data, most recently in 2014. The Executive Committee of the CGBD Board of Directors annually reviews the comparibility data and the reasonableness of the compensation recommendation prior to approval. The comparibility data and basis for the decision are recorded in the minutes. Only those members of the Executive Committee who are free of conflicts of interest may vote on the Executive Director compensation.

Financial Statement Notes

Part X, Line 2:

The cgbd is an exempt organization under section 501(c)(3) of the internal revenue code and 23701(d) of the state of california revenue and taxation code. However, the cgbd is subject to taxes on income, if any, that is unrelated to its exempt purpose. The cgbd has evaluated its current tax positions and has concluded that as of december 31, 2015 and 2014, the cgbd does not have any significant uncertain tax positions for which a reserve would be necessary.

A MONTHLY MEMBER UPDATE APPRISES APPROXIMATELY 300 STAFF AND TRUSTEES FROM MEMBER FOUNDATIONS OF UPCOMING CALLS, MEETINGS, RELEVANT REPORTS, AND IMPORTANT STAFFING TRANSITION. - FOR THE ANNUAL MEMBERS' MEETING, THE CGBD GATHERED FUNDERS ON THE HOOD CANAL IN THE STATE OF WASHINGTON. WITH THE THEME "INCLUSIVE CONSERVATION IN THE ANTHROPOCENE," THE ANNUAL MEETING EMPHASIZED THE CHANGING AND EVOLVING CONSERVATION SECTOR. LOCAL STEWARDSHIP OF LAND AND WATERSHEDS WAS FEATURED ALONG WITH ACADEMIES AND FIELD TRIPS ON ISSUES RANGING FROM HABITAT RESTORATION, TO MAPPING, TO OCEAN ACIDIFICATION AND SUSTAINABLE AGRICULTURE. THE MEETING BROKE PREVIOUS ATTENDANCE RECORDS. - THE "ENVIRONMENTALISTS UNDER THREAT" INITIATIVE OF THE INTERNATIONAL CONNECTIONS PROGRAM HOSTED ITS SECOND BRIEFING IN APRIL 2015 IN CONJUNCTION WITH THE GOLDMAN ENVIRONMENTAL AWARDS AND THE RELEASE OF A REPORT FROM GLOBAL WITNESS PINPOINTING THREATS AND INTIMIDATION TO ENVIRONMENTAL DEFENDERS - WHO ARE OFTEN INDIGENOUS LEADERS. MORE FOUNDATIONS BEGAN FUNDING IN THIS SECTOR DUE TO THE CGBD INITIATIVE. - THE MARINE CONSERVATION PROGRAM HELD ITS ANNUAL MEETING IN LA JOLLA, CALIFORNIA. PROGRAM TOPICS VARIED FROM "OCEAN PLANNING - AVOIDING CONFLICTS, ENSURING CONSERVATION GAINS," TO "NEW AND EMERGING TECHNOLOGIES AND "MODELS OF GRANT MAKER COLLABORATION." PARTICIPANTS WERE TREATED TO AN EARLY VIEWING OF THE DOCUMENTARY "RACING EXTINCTION," BY THE MAKER OF THE ACADEMY AWARD-WINNING "THE COVE." A FIELD TRIP INCLUDED THE BIRCH AQUARIUM AT SCRIPPS INSTITUTE OF OCEANOGRAPHY MUSEUM AND MINGLING WITH YOUNG FAMILIES EXPERIENCING THE AQUARIUM'S COMMUNITY PROGRAM. WITH THE ASSISTANCE OF THE OCEAN FOUNDATION, THE PROGRAM COMPLETED ITS 12TH ANNUAL MARINE CONSERVATION FUNDING SURVEY. THE SURVEY PROVIDES INFORMATION ON THE STRATEGIES, ISSUES AND LEVEL OF GRANT MAKING FOR EACH OF THE MARINE CONSERVATION PROGRAM PARTICIPANTS; ALLOWS FUNDERS TO COMPARE THEIR MARINE GRANT MAKING PROGRAMS WITH OTHERS; AND ASSISTS PROGRAM MEMBERS AS THEY LOOK FOR POTENTIAL PARTNERS IN COLLABORATIVE FUNDING. THE SURVEY ALSO ASKS PROGRAM MEMBERS TO LIST PARTNERSHIPS OR COLLABORATIVE PROJECTS THAT ORIGINATED OR WERE NURTURED AT THE 2014 PROGRAM MEETING IN SALEM, MASSACHUSETTS OR OTHER PROGRAM EVENTS. A WEBINAR RELEASED THE RESULTS TO PARTICIPATING MEMBERS. OTHER WEBINARS LOOKED AT CORAL REEF BLEACHING AND THE FINDINGS OF A NEW REPORT ON THE ATTITUDES OF MILLENNIALS ON MARINE CONSERVATION. - THE LAND & FRESHWATER PROGRAM SPONSORED TWO, TWO-DAY MEETINGS IN FEBRUARY AND NOVEMBER OF BIODIVERSITY GRANT MAKERS AND FEDERAL POLICY AND MANAGEMENT LEADERS IN CONGRESS AND THE ADMINISTRATION. FUNDERS LOOKED AT WILDERNESS PROTECTION, NEW MONUMENT DESIGNATIONS, AND CHALLENGES TO ENVIRONMENTAL LAWS.
