Since its founding in 1970, village community school's goal has been to develop self-motivated students who view learning as an exciting and rewarding process that will continue throughout their lives. We strive to be a diverse community where equity, justice and excellence are interdependent, and children become effective citizens, with the ability to make meaningful contributions.

Membership approval is required for certain financing commitments, as well as amendments to the by-laws. Each family and each staff member have one vote.

A subcommittee of the board was formed to review the 990 before filing, and to present the document to the board for approval.

Form 990, Part VI, Section B, Line 12C

In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the potential conflict and be given the opportunity to disclose all material facts to the directors and members of committees with governing board-delegated powers considering the proposed transaction or arrangement. After disclosure of the potential conflict and all material facts, and after any discussion with the interested person, he or she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. An interested person may make a presentation at the governing board or committee meeting, but after the presentation he or she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement.

Form 990, Part VI, Section B, Line 15A

The head of school's salary is determined by a subcommittee of the board headed by the chairperson. Comparables from nais, nboa, and 990's are researched for all senior positions. They are reviewed by the head of school and discussed with the chair. The director of finance maintains a file each year. The head of school's contract is usually for a term of 2 years; top administrators' salaries are reviewed annually and are determined by the head of school as stated above, along with budget limitations set by the board. The board's goal in setting these salaries are to have them at the mean or slightly above the mean paid at comparable schools. This process was last done in 2015.
