Governance Explanations

Form 990, Part VI, Section A, Line 4

On march 16, 2016, the technoserve board of directors adopted amended and restated bylaws. While the amended and restated bylaws contain a number of administrative and formatting changes, the most significant change was to remove the reference to members of the organization, which corresponds to changes previously made to the organization's certificate of incorporation.

Form 990, Part VI, Section B, Line 11B

The draft form 990 is prepared and reviewed internally by senior management and provided to the audit committee for review. The final form 990 is distributed to the board of directors prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Technoserve's conflict of interest policy requires each director, officer and key employee to disclose any potential conflict of interest and recuse him/her self from any involvement in a decision in which the individual has or may have a conflict of interest. On an annual basis, each director, officer and key employee is required to complete a statement that includes an acknowledgement that the individual has read and understands the policy, agrees to abide by the policy and discloses any conflicts. In addition, the organization has a policy that clarifies the process in which employees, volunteers and consultants may disclose any possible conflicts of interest.

The vp of hr conducts reviews of compensation including benchmarking against other non-profit organizations. Senior management salaries and increases are presented to and subject to approval by the compensation committee of the board of directors.

Financial Statement Notes

PART X, LINE 2:

Technoserve is exempt from federal income taxes under the provisions of section 501(c)(3) of the internal revenue code. In addition, technoserve has been determined by the internal revenue service not to be a private foundation. Income, which is not related to its exempt purpose, less applicable deductions, is subject to federal and state corporate income taxes. Technoserve had no unrelated business income for the year ended december 31, 2016. Management has evaluated technoserve's tax positions and has concluded that technoserve has taken no uncertain tax positions that require disclosure. Technoserve files tax returns in the u.s. Federal and washington, d.c. Jurisdictions. Generally, technoserve is no longer subject to u.s. Federal or state and local income tax examinations by tax authorities for years before 2013.

A NONPROFIT ORGANIZATION OPERATING IN 29 COUNTRIES, TECHNOSERVE IS A LEADER IN HARNESSING THE POWER OF THE PRIVATE SECTOR TO HELP PEOPLE LIFT THEMSELVES OUT OF POVERTY. BY LINKING PEOPLE TO INFORMATION, CAPITAL, AND MARKETS, WE HAVE HELPED MILLIONS TO CREATE LASTING PROSPERITY FOR THEIR FAMILIES AND COMMUNITIES.IN 2016, TECHNOSERVE'S WORK BENEFITED 594,000 FARMERS, BUSINESSES, AND EMPLOYEES, IMPROVING THE LIVES OF AN ESTIMATED 3 MILLION HOUSEHOLD MEMBERS. WE HELPED THESE BENEFICIARIES GENERATE $196 MILLION IN ADDITIONAL REVENUE AND WAGES. THE HIGHLIGHTED ACCOMPLISHMENTS BELOW ARE EXCERPTED FROM OUR 2016 ANNUAL REPORT, AND REPRESENT A CROSS-SECTION OF TECHNOSERVE'S WORK IN AGRICULTURAL VALUE CHAINS AND ENTREPRENEURSHIP. THE FULL REPORT CAN BE FOUND ON OUR WEBSITE.IN NICARAGUA, TECHNOSERVE COMPLETED THE FOUR-YEAR USDA-FUNDED GANADER A EMPRESARIAL PROJECT, WHICH ADDRESSED THE ENTIRE LIVESTOCK VALUE CHAIN TO IMPROVE THE PRODUCTIVITY, QUALITY, AND PROFITABILITY OF DAIRY AND BEEF PRODUCED BY SMALL-SCALE FARMERS. THE PROJECT TRAINED MORE THAN 5,500 FARMERS, WHO INCREASED THEIR PRODUCTION BY 28 PERCENT. TECHNOSERVE ALSO HELPED 25 LIVESTOCK PRODUCER ORGANIZATIONS IMPROVE THEIR BUSINESS PRACTICES AND NEGOTIATE NEW SALES AGREEMENTS, GENERATING $4.6 MILLION IN NEW REVENUE. IN EAST AFRICA, TECHNOSERVE IS CONTINUING TO DEMONSTRATE LEADERSHIP IN THE COFFEE SECTOR THROUGH PROJECTS SUCH AS AAA QUALITY PROGRAM, A PARTNERSHIP WITH NESPRESSO IN KENYA AND ETHIOPIA. SINCE LAUNCHING IN 2014, MORE THAN 29,000 FARMERS, 39 PERCENT OF WHOM ARE WOMEN, HAVE RECEIVED TRAINING. IN 2016, THE PROJECT PARTNERED WITH OTHER MULTILATERAL ORGANIZATIONS TO LAUNCH A NEW INITIATIVE IN WHICH COFFEE GROWERS WILL PLANT A COMBINED TOTAL OF 1 MILLION TREES ON THEIR FARMS BY THE YEAR 2020 IN ORDER TO REDUCE ATMOSPHERIC CARBON AND PROTECT AGAINST SOIL EROSION. TECHNOSERVE'S WELL-KNOWN COFFEE WORK IS GLOBAL IN SCOPE, WITH COFFEE FARMERS AND BUSINESSES IN 12 COUNTRIES GENERATING MORE THAN $16.9 MILLION IN FINANCIAL BENEFITS IN 2016.IN WEST AFRICA, TECHNOSERVE IS WORKING WITH PUBLIC AND PRIVATE PARTNERS TO TRANSFORM THE CASHEW INDUSTRY FROM TREE TO TRADE. IN NIGERIA, TECHNOSERVE COMPLETED A THREE-YEAR PROJECT THAT HELPED RAISE THE INCOMES OF MORE THAN 10,000 SMALLHOLDER CASHEW FARMERS BY AN AVERAGE OF 43 PERCENT, OR $164 PER YEAR. THE PROJECT PROVIDED TRAINING IN GOOD AGRONOMIC PRACTICES, IMPROVED ACCESS TO MARKETS, AND INCLUDED AN INTENSIVE FOCUS ON GENDER, ACHIEVING A 42 PERCENT FEMALE PARTICIPATION RATE. MEANWHILE IN BENIN, TECHNOSERVE COMPLETED THE FIRST YEAR OF BENINCAJU , A COMPREHENSIVE FIVE-YEAR VALUE CHAIN PROJECT TO STRENGTHEN THE COUNTRY'S ENTIRE CASHEW SECTOR. TECHNOSERVE IS SUPPORTING PROCESSORS AT EVERY STAGE OF THEIR BUSINESS IN ORDER TO TRIPLE THE NATION'S DOMESTIC PROCESSING CAPACITY, ENSURE A STABLE MARKET FOR SMALLHOLDER FARMERS, AND CREATE 3,400 NEW JOBS.IN INDIA, TECHNOSERVE HAS PARTNERED WITH SEVERAL MULTINATIONAL COMPANIES TO HELP FARMERS IMPROVE THEIR LIVELIHOODS AND NUTRITION IN THE FACE OF EXTREME OR SHIFTING WEATHER PATTERNS. IN 2016, WE TRAINED 1,300 FARMERS ACROSS MADHYA PRADESH IN CLIMATE-SMART AGRICULTURAL PRACTICES THAT CAN INCREASE PRODUCTIVITY, REDUCE COSTS, AND IMPROVE LONG-TERM GROWING CONDITIONS FOR WHEAT, MAIZE, SOY AND OTHER CROPS. AS A RESULT, FARMERS INCREASED THEIR YIELDS AND GENERATED MORE THAN $1 MILLION IN INCREASED REVENUE. IN ARID BIKANER DISTRICT, RAJASTHAN, WE TRAINED 2,500 GUAR FARMERS IN SIMILAR SUSTAINABLE AGRICULTURAL PRACTICES OVER TWO YEARS.
