The draft form 990 is prepared and reviewed internally by senior management and provided to the audit committee for review. The final form 990 is distributed to the board of directors prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Technoserve's conflict of interest policy requires each director, officer and key employee to disclose any potential conflict of interest and recuse him/her self from any involvement in a decision in which the individual has or may have a conflict of interest. On an annual basis, each director, officer and key employee is required to complete a statement that includes an acknowledgement that the individual has read and understands the policy, agrees to abide by the policy and discloses any conflicts. In addition, the organization has a policy that clarifies the process in which employees, volunteers and consultants may disclose any possible conflicts of interest.

The vp of hr conducts reviews of compensation including benchmarking against other non-profit organizations. Senior management salaries and increases are presented to and subject to approval by the compensation committee of the board of directors.

Financial Statement Notes

PART X, LINE 2:

Technoserve is exempt from federal income taxes under the provisions of section 501(c)(3) of the internal revenue code. In addition, technoserve has been determined by the internal revenue service not to be a private foundation. Income, which is not related to its exempt purpose, less applicable deductions, is subject to federal and state corporate income taxes. Technoserve had no unrelated business income for the year ended december 31, 2015. Management has evaluated technoserve's tax positions and has concluded that technoserve has taken no uncertain tax positions that require disclosure. Technoserve files tax returns in the u.s. Federal and washington, d.c. Jurisdictions. Generally, technoserve is no longer subject to u.s. Federal or state and local income tax examinations by tax authorities for years before 2012.

A NONPROFIT ORGANIZATION OPERATING IN 29 COUNTRIES, WE WORK WITH ENTERPRISING MEN AND WOMEN IN THE DEVELOPING WORLD TO BUILD COMPETITIVE FARMS, BUSINESSES AND INDUSTRIES. IN 2015, TECHNOSERVE'S WORK DIRECTLY BENEFITTED 319,000 FARMERS, BUSINESSES AND EMPLOYEES, IMPROVING THE LIVES OF AN ESTIMATED 1.6 MILLION HOUSEHOLD MEMBERS. WE HELPED THESE BENEFICIARIES GENERATE $75.3 MILLION IN ADDITIONAL REVENUE AND WAGES. AS AN INDICATION OF LONG-TERM GROWTH WE HELPED CATALYZE $36.5 MILLION IN PRIVATE SECTOR INVESTMENT IN FARMS AND BUSINESSES. BREAKING THIS IMPACT DOWN INTO REGIONS, LATIN AMERICA AND THE CARIBBEAN HAD THE LARGEST NUMBERS, SEEING $29.6 MILLION IN ADDITIONAL REVENUE AND WAGES, BENEFITTING 48,000 FARMERS, BUSINESS AND EMPLOYEES AND GENERATING $36.5 MILLION IN PRIVATE SECTOR INVESTMENT. EAST AFRICA ALSO HAD STRONG NUMBERS WITH $25.7 MILLION IN ADDED REVENUE AND WAGE, 180,000 DIRECT BENEFICIARIES AND $11.1 MILLION IN PRIVATE SECTOR INVESTMENT. WEST AND SOUTHERN AFRICA HAD A COMBINED IMPACT OF $19.3 MILLION IN REVENUE AND WAGES, 87,000 DIRECT BENEFICIARIES AND $8.4 MILLION IN PRIVATE SECTOR INVESTMENT. OUR EFFORTS IN THE COUNTRY OF INDIA GENERATED $700,000 IN ADDITIONAL REVENUE AND WAGES, BEFITTED 4,000 BENEFICIARIES AND CATALYZED $300,000 IN PRIVATE SECTOR INVESTMENT.IN MEXICO, TECHNOSERVE HAS SUPPORTED 4,000 AGRICULTURE AND DAIRY SMALLHOLDERS SINCE 2011. TECHNOSERVE HAS PROVIDED TECHNICAL ASSISTANCE AND BUSINESS SUPPORT TO HELP SMALL FARMERS INCREASE PRODUCTIVITY AND QUALITY. MORE THAN 8 FARMER ORGANIZATIONS HAVE BEEN ABLE TO SELL THEIR PRODUCT DIRECTLY WITHOUT INTERMEDIARIES TO MULTINATIONAL CORPORATIONS. AGRICULTURE FARMERS HAVE OBSERVED PRICE INCREMENTALS FROM 10 TO 100 PERCENT, DEPENDING ON THE CROP. FARMERS HAVE SOLD TOMATO, ZUCCHINI, GRAPEFRUIT, WATERMELON, MELON, LEMON, MANGO, BROCCOLI AND OTHER VEGETABLES FULFILLING QUALITY SPECIFICATIONS. IN DAIRY, MORE THAN 300 FARMERS HAVE IMPROVED THEIR INFRASTRUCTURE AND TECHNICAL SKILLS INCREASING LITERS PER COW AND COWS PER FARMER. THE FIRST COHORT OF DAIRY FARMERS HAS ALREADY TRIPLED THEIR NET INCOMES.IN CENTRAL AMERICA AND THE CARIBBEAN, TECHNOSERVE CONTINUES TO CATALYZE ENTREPRENEURSHIP THROUGH ITS IMPULSA TU EMPRESA PROGRAM. IN 2015, TECHNOSERVE SUPPORTED MORE THAN 550 ENTREPRENEURS ACROSS NICARAGUA, HONDURAS, GUATEMALA, AND EL SALVADOR, THE LARGEST NUMBER IN A SINGLE YEAR TO DATE. THE PROGRAM PROVIDES BUSINESS DEVELOPMENT SUPPORT TO SMALL AND GROWING BUSINESS IN THE REGION FOR THE ENTERPRISES IT SUPPORTS. TECHNOSERVE HAS ALSO BEEN A LEADER IN DEVELOPING THE COFFEE SECTOR IN THE REGION WITH COFFEE PROJECTS IN GUATEMALA AND HONDURAS. IN HONDURAS THE SUSTAINABLE AGRICULTURAL IMPROVEMENT PROJECT BENEFITTED MORE THAN 26,500 SMALL SCALE COFFEE AND BEAN PRODUCERS IN 2015. THE COFFEE FARMERS HAVE SEEN THEIR COFFEE REVENUES INCREASE BY 60 PERCENT.IN SOUTH AMERICA, THE ORGANIZATION RECEIVED AN EXTENSION FROM ITS PARTNER ON ITS SUCCESSFUL ECONOMIC DEVELOPMENT ALLIANCE FOR SAN MARTIN PROGRAM. THE PROGRAM HAS BEEN WORKING TO TRANSITION THE ECONOMY FROM COCA CULTIVATION TO COFFEE AND COCOA PRODUCTION. OVER THE FIVE YEARS OF THE PROGRAM, IT HAS ASSISTED MORE THAN 21,000 COCOA FARMERS TO INCREASE YIELDS BY 38 PERCENT AND THEY HAVE SOLD OVER $10.5 MILLION BEANS DIRECTLY TO EXPORTERS.IN SUB-SAHARAN AFRICA, THE PROGRAM CONTINUES TO HAVE A LARGE FOOTPRINT WITH A NUMBER OF SUCCESSES IN EAST AFRICA, WEST AFRICA AND SOUTHERN AFRICA. IN EAST AFRICA, THE STRENGTHENING RURAL YOUTH THROUGH DEVELOPMENT PROGRAM CONTINUES TO BE QUITE SUCCESSFUL. WITH THE COMPLETION OF THE FIRST PHASE OF THE PROJECT, THE SECOND PHASE OF THE PROGRAM ANNOUNCED IN 2015 LOOKS TO SCALE THE PROGRAM TO NEW GEOGRAPHIES AND STRENGTHEN AFTERCARE FOR THE YOUNG ENTREPRENEURS.
