Mission

Ndc housing and economic development corporation was organized for the following charitable purposes: to construct new and support existing safe and adequate low-income housing for disadvantaged persons; thereby assisting generally in the alleviation of housing shortages throughout the united states; to stimulate economic development in economically distressed areas of the country; and to assist in the erection and maintenance of public buildings, monuments or facilities to lessen the burdens of government, and to promote social welfare.

All members of the hedc board of directors and executive employees are required to annually execute a conflict of interest policy and compensation guidelines acknowledgement stating that they have received, read and understand, and agree to comply with the conflict of interest policy and compensation guidelines. The conflict of interest policy and compensation guidelines document requires board members and executive employees to disclose any potential conflicts of interest immediately. The chairperson of the board will upon notification of such an event appoint a disinterested person or committee to investigate alternatives to the proposed transaction and violations of the conflict of interest policy can result in appropriate disciplinary and corrective action. Also, all board members by executing the conflict of interest policy and compensation guidelines document acknowledge that they share the responsibility of hedc to remain faithful to the organization's charitable purposes.

C. To initiate and carry out activities to stimulate economic development in economically depressed areas of the us. In particular, to undertake activities that: - relieve poverty and lessen neighborhood tension caused by a lack of jobs in deteriorated and depressed areas by providing training opportunities for the unemployed and creating job opportunities for disadvantaged groups. - combat community deterioration and eliminate blight by undertaking activities that stimulate the establishment of new businesses among disadvantaged groups and which rehabilitate and revive existing businesses operated by disadvantaged groups.

FORM 990, PART III, LINE 4A CONTINUATION:

In 2021, through our low-income housing development and investment activities, hedc through its subordinate corporation, ndc corporate equity fund, invested $101.45 million in 12 projects containing 1,410 units of quality, safe, adequate, and affordable housing for low-income persons and families, the elderly, and people with special needs. Investment and development activities totaled more than $480 million. The following are representative samples of hedc affordable housing projects completed in 2021: maywood senior living facility - maywood, il maywood senior supportive housing project is a 100-unit historic renovation of the former baptist home located in maywood, cook county, il. African american residents comprise 61-percent of the population. The long vacant structure was renovated in 2021 with support from the state of illinois and equity provided through ndc corporate equity fund. The total investment exceeded $50 million and cef contributed approximately $20 million in equity through the purchase of federal investment tax credits. The 83 studio/1 bath units are rented to seniors with incomes below 60% ami. The 17 1-bedroon/1 bath units will be rented at the same income levels. In addition to providing much needed housing with services for seniors, the project is the cornerstone of the community's neighborhood revitalization plan. Prior to acquisition by the developer, this building stood vacant for over 20-years. Little dipper apartments fairbanks, ak lillis dipper is an existing 52-unit multi-family rental project build in 1973 and located in fairbanks, alaska. The developer acquired the project for rehabilitation and rental as an affordable housing project under the guidelines of the alaska qap. The project contains ten 1-bedroom units, thirty 2-bedroom units and twelve 3- bedroom units all with rents calculated for incomes at or below 60% of ami. The total project is $6.8 million with ndc cef providing $1.2 million in equity derived from the sale of lihtc's.

Tax positions include the tax-exempt status of the organization, among others. There are no uncertain tax positions identified or recorded as liabilities for the years ended december 31, 2021 and 2020. The organization did not recognize any interest and penalties associated with tax matters for the years ended december 31, 2021 and 2020. The organization files form 990, return of organization exempt from income tax, with the internal revenue service annually.

SEE SCHEDULE O) UNDER THE NEW MARKETS TAX CREDIT (NMTC) PROGRAM, HEDC HAS SPONSORED 94 PROJECTS THROUGH A $754 MILLION NMTC ALLOCATION, WHICH LEVERAGED PROJECT FINANCING TOTALING OVER $2.1 BILLION OF NEW INVESTMENT, CREATED OVER 16,000 PERMANENT JOBS FOR DISADVANTAGED INDIVIDUALS, AND BROUGHT BADLY NEEDED GOODS AND SERVICES TO LOW-INCOME COMMUNITIES ACROSS AMERICA. ADDITIONALLY, THE 94 PROJECTS CONTAIN 9.1 MILLION SQUARE FEET (11.6 ACRES) OF SOLAR PANELS. IN 2021, HEDC RECEIVED A $50 MILLION NEW MARKETS TAX CREDIT ALLOCATION. HEDC THROUGH ITS AFFILIATE HEDC NEW MARKETS INVESTED IN ONE PROJECT IN 2021. SUPERPUFFT SNACKS AND LOGISTICS PERRY, FLORIDASUPERPUFFT IS A MINORITY OWNED WHITE LABEL MANUFACTURING COMPANY LOCATED IN PERRY, FLORIDA. THE COMPANY CURRENTLY MANUFACTURES WHITE LABEL SNACKS AND SUPPLIES THEM TO FRITOLAY, WALMART, HEB GROCERY, KROGER AND OTHERS WHO IN TURN SELL THEM UNDER THEIR OWN LABEL. THE COMPANY IS INVESTING $24.3 MILLION TO BUILD A NEW MANUFACTURING FACILITY. HEDC NEW MARKETS IS SUPPLYING AN $8.1 MILLION ALLOCATION OF NEW MARKET TAX CREDITS WHICH WILL BE INVESTED IN THE NEW FACILITY. SUPERPUFFT HIRED 347 NEW PERMANENT EMPLOYEES TO WORK IN RURAL PERRY. NDC COMMUNITY IMPACT LOAN FUND (CILF) FEDERAL HOME LOAN BANK MEMBERSHIP, NEW YORK FORWARD, SOAR, WASHINGTON SMALL BUSINESS FLEX FUND, DISCOVER/STATE OF DELAWARE EQ2, AND DELAWARE HISTORIC TAX CREDIT BRIDGE FUND NUMEROUS STUDIES HAVE DOCUMENTED THAT, EVEN AFTER CONTROLLING FOR DIFFERENCES IN CREDITWORTHINESS, MINORITY OWNED SMALL BUSINESSES EXPERIENCE HIGHER LOAN DENIAL RATES AND PAY HIGHER INTEREST RATES THAN WHITE-OWNED BUSINESSES. THIS TREND HAS ACCELERATED AS A RESULT OF THE COVID-19 INDUCED ECONOMIC DOWNTURN. BECAUSE OF THESE DENIAL RATES, MINORITY OWNED BUSINESS MUST RELY MORE UPON OWNER'S EQUITY AND LESS ON BANK DEBT. YET, MINORITY BUSINESSES HAVE LESS EQUITY AND LOWER HOUSEHOLD WEALTH TO DRAW FROM. AS A RESULT, MINORITY SMALL BUSINESSES LAUNCH WITH LESS TOTAL CAPITALIZATION THAN CONVENTIONAL BUSINESSES. WITH INADEQUATE CAPITALIZATION, THESE BUSINESSES SUFFER A HIGHER FAILURE RATE THAN WHITE-OWNED BUSINESSES. IN 2021, CILF, HEDC'S CERTIFIED NATIONAL CDFI, PROVIDED OVER 388 LOANS, TOTALING $23.8 MILLION TO MINORITY AND WOMEN SMALL BUSINESSES LOCATED IN NEW YORK STATE, DELAWARE, FLORIDA, AND WASHINGTON. THE $23.8 MILLION LOANED TO MWBE'S REPRESENTS 84 PERCENT OF CILF'S TOTAL LOAN VOLUME IN 2021. IN 2020, CILF RECEIVED A $38 MILLION EQ2 INVESTMENT COMMITMENT FROM DISCOVER BANK. CILF IN TURN MADE A LOAN TO THE UNIVERSITY OF DELAWARE SPONSORED FINTECH CENTER AND HAS BEEN FUNDING CONSTRUCTION PROGRESS PAYMENTS FOR THE FINTECH CENTER LOCATED ON THE STAR CAMPUS OF THE UNIVERSITY. THE BUILDING WHEN FINISHED IN EARLY 2023, WILL HOUSE UNIVERSITY CLASSROOMS, OFFICES AND FINANCIAL LITERACY PROGRAMS DESIGNED TO SUPPORT THE GREATER DELAWARE SMALL BUSINESS COMMUNITY. THE LOAN PROVIDED BY CILF WILL BE USED TO PROVIDE LOW-COST, PATIENT, AND PERMANENT FIRST MORTGAGE FINANCING FOR THE CONSTRUCTION OF THE FACILITY.
