“The members in good standing of the order of the king's daughters and sons of maury county shall constitute the membership of this corporation so long as it shall remain in county work.”
“The board of directors of this corporate body shall be constituted as follows: a. From july 2022 through june 2023, each active senior circle of maury county shall be entitled to one (1) board member per circle, to be elected by their respective circles at their regular business meeting prior to july 1. From july 2023 and thereafter, all active circles combined (the maury county union of the king's daughters and sons) shall be entitled to two (2) total board members from among all of its circles and members, to be elected by the combined circles (the maury county union of the king's daughters and sons) at their regular meeting prior to july 1. B. At least ten (10) and no more than sixteen (16) at-large board members shall be elected by the board of directors. These board members shall be elected by the board of directors at their regular business meeting in june. These at-large board members are not required to be members of the king's daughters and sons. C. A member may serve three (3) consecutive years and, if re-elected by the maury county union of the king's daughters and sons and/or the board of directors, shall be eligible to serve another two terms of three years each. After having served three consecutive terms, there shall be an interim of one year before such members become eligible to serve again as a member of the board of directors. If a member of the board incurs three (3) consecutive unexcused absences, the board may choose to replace that member. D. The membership of this board of directors shall never be fewer than twelve (12). F. In the event of litigation, members of the board of directors and the executive director shall have the deductible portion of the directors and officers liability paid by the king's daughters' school. G. At any one time, and upon proper election by the board of directors, one currently serving board member may be chosen to serve as an "ad hoc board member" based on his/her having a special responsibility which prohibits the required regular attendance at board meetings. Said ad hoc board member shall possess all the rights, privileges, duties, and responsibilities possessed by any other member of the board of directors. The ad hoc board member shall revert to the status of a regular board member upon subsequent proper election by the board of directors. H. No current employee of the king's daughters' school may serve as a member of the board of directors. I. The terms "board member- and "director" may be used interchangeably. Election of officers: section 1. For the election of officers, a governance committee of at least three (3) shall be named from among the board of directors by the executive committee at the regular may meeting of the board. Section 2. A president, vice-president, recording secretary, and treasurer shall be elected as officers of the board of directors at their regular meeting in june. Nominees for these offices shall be secured by the nominating committee. These officers and the immediate past- president shall constitute the executive committee. Section 3. The tenure of office for an officer shall be one year with the privilege of re-election.”

“The school is a tennessee not-for-profit corporation which is exempt from federal income taxes under section 501(c)(3) of the internal revenue code. Therefore, no provision for income taxes has been made. The school follows guidance that clarifies the accounting for uncertainty in income taxes recognized in an organization's financial statements. This guidance prescribes a minimum probability threshold that a tax position must meet before a financial statement benefit is recognized. The minimum threshold is defined as a tax position that is more likely than not to be sustained upon examination by the applicable taxing authority, including resolution of any related appeals or litigation processes, based on the technical merits of the position. The tax benefit to be recognized is measured as the largest amount of benefit that is greater than 50% likely of being realized upon ultimate settlement.”
