Governance Explanations

Form 990, Part VI, Section B, Line 11B

Elderhouse, inc. Has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. Once the form 990 is prepared, it is provided to the executive director and the finance committee and board president for review and subsequent approval. Once approved by the finance committee and board president, they recommend full board approval at the subsequent meeting of the board. The return is signed and filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Elderhouse has a conflict of interest policy in place which covers every officer, employee and member of the board of directors ("responsible persons"). All responsible persons receive a copy of the conflict of interest policy at the beginning of their service with elderhouse and are required to review it, disclose any potential conflicts of interest, and affirm their agreement with the policy by signing it. Afterwards, individuals serving on the board of directors are required to review and affirm their compliance with the policy on an annual basis. Completed conflict of interest agreements are reviewed by the executive director, or designee, who notifies the president of the board, of any potential or actual conflicts of interest. Additionally, responsible persons must disclose any changes that may result in a potential or actual conflict of interest as it arises. If it is not clear whether a conflict of interest is present, the responsible person with the potential or actual conflict will disclose the circumstances to the chair of the executive committee (the president of the board), who determines whether a conflict of interest is present. Prior to a board or committee action on a contract or transaction involving a conflict of interest with a board member, the interested board member must disclose all relevant facts surrounding the conflict of interest. Interested board members are not allowed to participate in or be present while the board or committee discusses the matter and are not allowed a vote on the matter. If the interested responsible person is not a board member, or if the contract or transaction is not subject to board or committee action, the interested responsible person must disclose the conflict of interest to the chair of the executive committee, or designee, and refrain from any action that may impact elderhouse's participation in the matter.

Form 990, Part VI, Section B, Line 15A

Elderhouse has a process in place for evaluating the compensation package of its executive director, which includes: 1. Review and approval by the executive committee, which is comprised of independent members, with input from the finance committee, 2. Use of comparable data, including the forms 990 of similar organizations, 3. Contemporaneous documentation of the deliberations and decisions regarding the executive director's compensation package. This process was last undertaken in february 2026.

Form 990, Part VI, Section C, Line 19

Elderhouse makes its form 990 available for public inspection as required under section 6104 of the internal revenue code. The return is posted on guidestar.org and other similar websites. In addition, the financial statements, governing documents, and conflict of interest policy are available upon request.
