Governance Explanations

Form 990, Part VI, Section A, line 4

The By-Laws were revised on February 2017. Significant changes included decreasing terms of office for directors from two years to one year, expanding Article IV on Meetings with paragraphs on Actions without a Meeting and Meetings by Conference Telephone, and expanding Article VII on Committees to include descriptions of the standing committees, such as the executive and finance committees, and advisory committees.

Form 990, Part VI, Section B, line 11B

Elderhouse, Inc. has its form 990 prepared by an outside accounting firm and has established the following review process to ensure that the information reported is complete and accurate. Prior to filing, the Form 990 will be sent to the President of the Board of Directors who, along with the Executive Director and the Executive Committee, will review the document and sign it. Once the Executive Committee has approved the return it is filed with the Internal Revenue Service.

Form 990, Part VI, Section B, line 12C

Prior to board or committee action on a contract or transaction involving a Conflict of Interest, a trustee or committee member having a Conflict of Interest and who is in attendance at the meeting shall disclose all facts material to the Conflicts of Interest. Such disclosure shall be reflected in the minutes of the meeting. A trustee or committee member who plans not to attend a meeting at which he or she has reason to believe that the board or committee will act on a matter in which the person has a Conflict of Interest shall disclose to the chair of the meeting all facts material to the Conflicts of Interest. The chair shall report the disclosure at the meeting and the disclosure shall be reflected in the minutes of the meeting. A person who has a Conflict of Interest shall not participate in or be permitted to hear the board's or committee's discussion of the matter except to disclose material facts and to respond to questions. Such person shall not attempt to exert his or her personal influence with respect to the matter, either at our outside the meeting. A person who has a Conflict of Interest with respect to a contract or transaction that will be voted on at a meeting shall not be counted in determining the presence of a quorum for purposes of the vote. The person having a conflict of interest may not vote on the contract or transaction and shall not be present in the meeting room when the vote is taken, unless the vote is by secret ballot. Each new responsible person shall be required to review a copy of this policy and to acknowledge in writing that he or she has done so. Each responsible person shall annually complete a disclosure form identifying any relationships, positions or circumstances in which the responsible person is involved that he or she believes could contribute to a conflict arising. Such relationships, positions, or circumstances might include service as a director of or consultant to a nonprofit organization, or ownership of a business that might provide goods or services to ElderHouse. Any such information regarding business interests of a responsible person or a family member shall be treated as confidential and shall generally be made available only to the President and Executive Director, and any committee appointed to address Conflicts of Interest, except to the extent additional disclosure is necessary in connection with the implementation of the policy. This policy shall be reviewed annually by each member of the Board of Directors. Any changes to the policy shall be communicated immediately to all responsible persons.

Form 990, Part VI, Section B, line 15A

Responsibility to establish fair and equitable compensation for the Executive Director rests with the President of the Board of Directors and an Ad Hoc Compensation Committee appointed by the President. The President shall appoint to this Committee only independent board members. The review of the Executive Director will be conducted under these guidelines: 1. The review will be conducted annually at fiscal year end 2. The review takes into account compensation history 3. The committee reviews the most available comparative data 4. The review results in a report that is delivered to the full board 5. The review is concluded with documentation of all actions added to a personnel file

Form 990, Part VI, Section C, line 19

Elderhouse makes its Form 990 available for public inspection as required under section 6104 of the Internal Revenue Code. It is posted on guidestar.org and other similar websites. In addition forms 990 and 1023 as well as the financial statements, governing documents, and conflict of interest policy are available upon request.

IRS990/Desc0Adult Day Services: For 4 decades, ElderHouse Adult Day Center has partnered with families to provide exceptional care to older frail adults in a respectful environment. Six days per week, older adults are provided door-to-door transportation to and from ElderHouse where they benefit from: daily medical monitoring by a staff nurse; personal care by certified health aides; therapeutic recreation, musical programs and memory enhancement activities; as well as social and community engagement. In turn, family caregivers benefit from hours of reliable respite, caregiver counseling and group support. The combination of a highly effective care environment for seniors and respite for caregivers, leads to a higher quality of life for both. Year after year, ElderHouse has accomplished 3 major objectives: (1) to keep frail older adults living in their homes, healthier and longer, (2) to reduce the rate of emergency room visits and hospital readmissions, and (3) to increase the opportunity for frail older adults to partake in meaningful social engagement. No other Norwalk based program provides area residents with a broad range of comprehensive care services specific to meet the needs of older frail adults and their caregivers. ElderHouse distinguishes itself from other not-for profit organizations in the following ways: (1) a leader in the field of senior care, (2) exceptional staff tenure, qualifying ElderHouse as one of the most highly competent providers of care, (3) commitment to offer the highest quality care at the most affordable rates, including a daily rate inclusive of all services and a sliding fee scale for lower income seniors, and (4) a good investment for donors with 85% of each dollar raised allocated directly to client services.
