Governance Explanations

Form 990, Part VI, Section A, Line 7A

The annual meeting of the members shall be held in the month of april at such place, date and time as may be determined by the board of directors, for the purpose of electing individuals to serve as directors of the corporation and transacting such other business as may properly come before them. The board of directors shall consist of at least 15 and no more than 40 members. And an ex-officio member. At each annual meeting, crossroad shall elect such number of directors whose terms of office expire on such date. Directors elected to servce on the board for the first time are elected for a term of 3 years and until their successors are chosen and qualify. Directors who have served a full 3 year term many be reelected to serve for up to two additional 3 year terms.

Members of the organization's audit committee review the form 990 and recommend to the board to accept the form as completed prior to filing. The form 990 is provided to each director via e-mail and each director then confirms receipt by e-mail prior to filing.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person: a) has received a copy of the conflicts of interest policy; b) has read and understands the policy; c) has agreed to comply with the policy, and; d) understands the corporation is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. Periodic reviews shall be conducted to ensure the corporation operates in a manner consistent with its charitable purposes and does not engage in activities that could jeopardize its tax-exempt status. The periodic reviews shall, at a minimum, include the following subjects: (a) whether compensation arrangements and benefits are reasonable, based on competent survey information, and the result of arm's length bargaining; (b) whether partnerships, joint ventures, and arrangements with management organizations conform to the corporation's written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes and do not result in inurement, impermissible private benefit or in an excess benefit transaction.

Form 990, Part VI, Section B, Line 15

The process of determining the president/ceo's salary is the responsibility of the compensation committee. The committee consists of five board members and two-thirds of the members present will constitute a quorum. The committee directs administration to obtain, review and assimilate comparable compensation data for the president/ceo and key executive officers no less than twelve months or no more than twenty-four months. Annually, the committee will review and recommend to the board, organization goals and objectives for the president/ceo at the end of each year, evaluate the performance against these goals, and recommend to the board any salary action to be taken. When making its recommendation for the president/ceo's salary, the compensation committee also factors in that the president/ceo oversees the management of three low-income housing tax credit partnerships in addition to the activities of crossroads rhode island. The compensation committee delegates to the president the goal setting, evaluation, and any salary recommendations for the key executives/officers of the organization and will have the responsibility of reviewing and approving these salary actions.

Financial Statement Notes

PART V, LINE 4:

Management determined that the endowment funds were incorrectly recognized in crossroads' financial statements because the funds were transferred to an unrelated community foundation. The correction is included in the prior period adjustment in 2020.

PART X, LINE 2:

Crossroads is exempt from income taxes as a public charity under section 501(c)(3) of the internal revenue code (irc). Management believes that crossroads operates in a manner consistent with its tax-exempt status at both the federal and state levels. Crossroads annually files irs form 990 - return of organization exempt from income tax, reporting various information that the internal revenue service uses to monitor the activities of tax-exempt entities. These tax returns are subject to review by the taxing authorities, generally for a period of three years after they were filed. Crossroads currently has no tax examinations in progress.

HOUSING PROBLEM SOLVING COMBINES CREATIVE, SOLUTIONS-ORIENTED BRAINSTORMING WITH A SMALL AMOUNT OF CASH ASSISTANCE THAT HELPS PEOPLE EXPLORE THEIR HOUSING OPTIONS. SOLUTIONS VARY FROM CLIENT TO CLIENT BUT INCLUDE THINGS LIKE SECURITY DEPOSITS AND UTILITY ARREARS. IN 2024, CROSSROADS DISTRIBUTED MORE THAN $900,000, PROVIDING AN AVERAGE OF $2,256 IN CASH ASSISTANCE PER HOUSEHOLD. AS A RESULT, WE HELPED MORE THAN 2,200 AT-RISK INDIVIDUALS AND FAMILIES EITHER PREVENT OR QUICKLY END THEIR HOMELESSNESS. WHEN HOMELESSNESS CAN'T BE PREVENTED OR QUICKLY ENDED, TEMPORARY EMERGENCY SHELTER IS SOMETIMES NEEDED AS A SHORT-TERM SOLUTION. IN 2024, CROSSROADS OPERATED FIVE SHELTERS WITH MORE THAN 200 BEDS, INCLUDING HARRINGTON HALL, THE LARGEST MEN'S SHELTER IN THE STATE, A WOMEN'S SHELTER, FAMILY SHELTER, DOMESTIC VIOLENCE SHELTER AND HARTFORD AVENUE, THE STATE'S ONLY COUPLES SHELTER. WITH HOMELESSNESS AT A RECORD HIGH, CROSSROADS PROVIDED NEARLY 1,600 PEOPLE WITH A SAFE PLACE TO STAY, INCLUDING 132 CHILDREN AND 100 SENIORS OVER THE AGE OF 65. OF THOSE, 80 ADULTS AND 77 CHILDREN WERE DOMESTIC VIOLENCE SURVIVORS.
