“During the annual meeting, members of the board of directors are elected. The board of directors shall consist of at least 15, and no more than 36 members. Directors elected to serve on the board for the first time are elected for a term of three years and until their successors are chosen and qualify. Directors who have served a full three year term may be re-elected to serve for two additional three year terms.”

“A: the process of determining the executive director's salary is the responsibility of the compensation committee. The committee consists of five board members and two-thirds of the members present will constitute a quorum. The committee directs administration to obtain, review and assimilate comparable compensation data with respect to the president/ceo and key executive officers no less than twelve months or no more than twenty-four months.
