Governance Explanations

Form 990, Part VI, Section A, Line 7A

The annual meeting of the member shall be held in the month of april at such place, date and time as may be determined by the board of directors for the purpose of electing individuals to serve as directors of the corporation and transacting such other business as may properly come before them. The board of directors shall consist of at least 15 and no more than 40 members an ex-officio member. At each annual meeting, crossroad shall elect such number of directors whose terms of officer expire on such date. Directors elected to servce on the board for the first time are elected for a term of 3 years and until their successors are chosen and qualify. Directors who have served a full 3 year term many be reelected to serve for up to two additional 3 year terms.

Members of the organization's audit committee reviewed the form 990 prior to filing and recommend to the board to accept the form as completed. The form 990 was provided to each director via e-mail prior to filing. Each director then confirmed receipt by e-mail

Form 990, Part VI, Section B, Line 12C

Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person: a) has received a copy of the conflicts of interest policy; b) has read and understands the policy; c) has agreed to comply with the policy, and; d) understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. Periodic reviews shall be conducted to ensure the organization operates in a manner consistent with its charitable purposes and does not engage in activities that could jeopardize its tax-exempt status. These reviews shall at a minimum include the following subjects: a) whether compensation arrangements and benefits are reasonable, based on a competent survey of information, and the result of arm's length bargaining; b) whether partnerships, joint ventures, and arrangements with management organizations conform to the organization's written policies, are properly recorded, reflect reasonable investment of payments for goods and services, further charitable purposes and do not result in inurement, impermissible private benefit or in an excess benefit transaction.

Form 990, Part VI, Section B, Line 15

A: the process of determining the executive director's salary is the responsibility of the compensation committee. The committee consists of five board members and two-thirds of the members present will constitute a quorum. The committee directs administration to obtain, review and assimilate comparable compensation data with respect to the president/ceo crossroads rhode island 05-0259094 and key executive officers no less than twelve months or no more than twenty-four months. Annually, the committee will review and recommend to the board organization goals and objectives for the president/ceo at the end of each year, evaluate the performance against these goals, and recommend to the board any salary action to be taken. When making its recommendation in regards to the president/ceo's salary, the compensation committee also factors in that the president/ceo oversees the management of three low-income housing tax credit partnerships in addition to the activities of crossroads rhode island. These entities reimburse crossroads rhode island for these services by means of a monthly management fee. 15b: the compensation committee delegates to the president the goal setting, evaluation, and any salary recommendations for the key executives/officers of the organization and will have the responsibility of reviewing and approving these salary actions.

Additional Explanations

FORM 990, PART XII, LINE 2C:

The organization's audit/finance committee shall have supervision, on behalf of the board, of all matters relating to the operating funds of the organization. It shall maintain a continuous and overall review of income and expenditures and shall make recommendations to the board relating thereto. The committee shall (i) recommend, from time to time, as to any matter pertaining to the financial condition of the organization including internal audit procedures and practices; (ii) recommend the firm of independent certified public accountants engaged by the organization for the annual audit; (iii) consult from time to time with the selected firm with regard to the adequacy of internal controls; and (iv) review with the independent auditors the proposed report of the audit and accompanying management letter.

Financial Statement Notes

PART V, LINE 4:

Management determined that the endowment funds were incorrectly recognized in crossroads' financial statements because the funds were transferred to an unrelated community foundation. The correction is included in the prior period adjustment.

PART X, LINE 2:

Crossroads is exempt from income taxes as a public charity under section 501(c)(3) of the internal revenue code (irc). Management believes that crossroads operates in a manner consistent with its tax-exempt status at both the federal and state levels. Crossroads annually files irs form 990 - return of organization exempt from income tax, reporting various information that the internal revenue service uses to monitor the activities of tax-exempt entities. These tax returns are subject to review by the taxing authorities, generally for a period of three years after they were filed. Crossroads currently has no tax examinations in progress.

CROSSROADS' EMERGENCY SHELTERS PROVIDE OUR CLIENTS WITH A SAFE PLACE TO STAY WHILE WE WORK TO MOVE THEM INTO PERMANENT, AFFORDABLE HOUSING.
