These changes primarily governed governance of the organization, and included: * not more than 30 directors should consitute the whole board. * no more than 3 years for each election and then may not serve for at least one year. * removal of lifetime directors. * board of directors shall hold at least three board meetings during a twelve month period. * special meeting may be called only by the chairperson or co-chairperson or any two voting directors. * a quorum consists of one-third of the directors currently in office. * action may be taken by a committee without a meeting if all board members or members of the committee consent in writing. * adding standing committees section, one-third of board serves each one, two or three year terms so only one-third of the board seats will be up for election. * no director shall receive any salary or compensation for service. * director may vote in person, by proxy or by email. * created co-chairperson position, * the treasurer shall be the chairman of the finance and audit committee. * the corporation shall have an executive, finance/audit, fundraising/engagement and governance committees. * committee membership and description of each committee were added to the amended by-laws. * the executive director is a non-officer position and its duties were revised to include setting programatic goals and initiatives. * by-laws follow standards under the chapter 8 of the texas business organization code.”
