Governance Explanations

Form 990, Part VI, Section A, Line 4

Alliance with ethics resource center on october 1, 2014, the ethics and compliance officer association, the ethics and compliance officer association foundation i and the ethics resource center entered into an alliance and strategic partnership and named dr. Patricia harned as the chief executive officer for all three entities. The foundation and the erc are 501(c)(3) organizations, and the ecoa is a 501(c)(6) organization; therefore the three organizations cannot be merged as one organization, but they will be strategic partners and their operations will be integrated where possible. Although the alliance among the three organizations was officially approved and went into effect on october 1, 2014, the integration will not be effective until january 1, 2015. Consequently, the three organizations continued to operate independently and have independent boards of directors for the six months ended december 31, 2014. Ecoa is a member-driven association exclusively for individuals responsible for their organization's ethics, compliance, and business conduct programs. Ecoa is credited with formally "founding" the ethics and compliance field in 1991 and is the only organization of its kind, as its members represent the largest group of ethics and compliance practitioners in the world. The foundation is an educational public charity that develops and delivers valuable information, with a special emphasis on new research, which contributes to the advancement of ethical practices in organizations. The erc is america's oldest nonprofit organization devoted to independent research and the advancement of high ethical standards and practices in public and private institutions committed to a strong ethical culture. The erc's expertise informs the public dialogue on ethics and ethical behavior. The erc researchers analyze current and emerging issues and produce new ideas and benchmarks that matter - for the public trust. Together, the erc's and foundation's esteemed research, and ecoa's strong membership of ethics and compliance practitioners, form a strategically valuable combination. With the alliance, the erc gains greater access to new ideas, research topics and potential new donors that will benefit the industry. Ecoa members are eager to expand their access to the erc's publications and to contribute to thought-leadership and innovative solutions to complex ethics and compliance challenges. Ecoa also brings a strong revenue stream derived from two annual conferences and other member-oriented educational offerings. This alliance also enhances the competitive position of both organizations that will be much stronger as aligned entities than either operating alone as separate organizations.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0ALLIANCE WITH ETHICS RESOURCE CENTER ON OCTOBER 1, 2014, THE ETHICS AND COMPLIANCE OFFICER ASSOCIATION, THE ETHICS AND COMPLIANCE OFFICER ASSOCIATION FOUNDATION I AND THE ETHICS RESOURCE CENTER ENTERED INTO AN ALLIANCE AND STRATEGIC PARTNERSHIP AND NAMED DR.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1THE ECOA HAS 151 SPONSORING PARTNER REPRESENTATIVE MEMBERS AND 8 FULL GOVERNMENT MEMBERS WHO ELECT THE BOARD OF DIRECTORS ON AN ANNUAL BASIS.
