“Hyde square task force has made changes to its' by-laws since the prior year 990 was filed. The significant changes are as follows. Section 1.2 purpose: the mission of hyde square task force is to develop the skills of youth and their families so they are empowered to enhance their own lives and build a strong and vibrant urban community. Section 2.1 no members: the corporation shall have no members. No person now or hereafter designated by the corporation as a "member" for any purpose shall be or deemed to be a member for purposes of the articles of organization or by-laws of the corporation or for purposes of massachusetts general laws chapter 180, as amended, or any other law rule or regulation. Any action or vote required or permitted by chapter 180 or any other law, rule or regulation to be taken by members shall be taken by action or vote of the same percentage of directors of the corporation. Section 3.1 number: there shall be a maximum of twenty-one (21) directors. All directors must be members of the corporation. Section 3.2 terms: all directors shall be elected at an annual or special meeting of the corporation by a simple majority vote. Terms of directors shall be one year. Directors may serve consecutive terms. Section 3.4 meetings: the board of directors shall meet regularly, but not less than three times a year. Section 3.5 annual meeting: the annual meeting of the corporation shall be held at such time and place as set by the board of directors. Section 3.6 meeting notice: meeting notice for the annual meeting shall include but not be limited to an announcement in a local media outlet at least seven (7) days prior to the meeting date. Section 3.12 vacancies: the board of directors shall have the power to elect additional directors between annual meetings, provided that the term expires at the next annual meeting. Section 3.13 compensation: directors shall be entitled to receive compensation for reasonable expenses incurred in the performance of their duties, which may include expenses of attendance at the meetings. Section 4.6 president: the president shall preside at all meetings of the directors, except as the directors shall otherwise determine, and shall have such other powers and duties as may be determined by the directors. Section 4.8 treasurer: the treasurer shall, subject to the direction and control of the board of directors, have general charge of the financial affairs of the corporation and shall keep full and accurate books of account. The staff under the direction of the treasurer shall maintain custody of all funds, securities and valuable documents of the corporation, except as the directors may otherwise provide. The treasurer shall have such other powers and duties as are usually incident to that office and as may be vested in that office by these by-laws or by the directors. Section 4.9 clerk: the clerk shall keep records of the corporation include but not limited to, minutes of meetings and actions taken.”

WE DESIGNED AND IMPLEMENTED A STUDENT-CENTERED CURRICULUM THAT ENCOURAGES POSITIVE SCHOOL ENGAGEMENT THROUGH CIVIC PARTICIPATION AND ARTS EDUCATION.
