Governance Explanations

Form 990, Part VI, Section B, Line 11B

An e-copy of the form 990 is e-mailed to the board members prior to the monthly board meeting, in time for the board to review and prepare questions. The document is then reviewed by the cfo and the board members at the monthly board meeting prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is distributed to all trustees and officers. Signed disclosure are returned to the director of finance who reviews the forms for potential conflicts. An individual found to have a conflict would be barred from the discussions or vote on the conflicting matter.

Form 990, Part VI, Section B, Line 15

The ceo, executive director(s), and cfo were paid based on average wages for similar positions and years of experience. The process included the following: * review and approval by a governing body or compensation committee, with no participation by interested persons (includes family & business associates). * use of data as to comparable compensation for similarly qualified persons in functionally comparable positions at similarly situated organizations. * contemporaneous documentation and recordkeeping with respect to the deliberations and decisions regarding the compensation arrangement.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents including its conflict of interest policy, and its financial statements, available to the public upon request in writing or in person to greater boston real estate board. The director of finance will provide the information.

Additional Explanations

FORM 990, PART XI, LINE 9:

OTHER ADJUSTMENTS 151.

Financial Statement Notes

PART X, LINE 2:

The organization accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. Interest and penalties assessed, if any, are accrued as income tax expense. The organization has identified its tax status as a tax exempt entity as its only significant tax position; however, the organization has determined that such tax position does not result in an uncertainty requiring recognition. The organization is not currently under examination by any taxing jurisdiction. Its federal and state income tax returns are generally open for examination for the past three years after the date of the filing of the related return.
