“All eligible physicians properly completing a membership application and remitting dues are considered to be members.”

“All members in good standing are eligible to vote for candidates to the organization's board of directors. Such vote is conducted online and is communicated to members by either email or mail service. Election results are announced at the annual converence.”

“The return preparer provides an initial draft of the completed form 990 to management for review and editing. Upon completion of management's review, a final draft of form 990 is provided to the executive committee of the board by management in electronic form. Upon resolution of comments by board members, if any, the final form 990 is signed by management and filed with the irs.”

“All affected individuals must review and sign the conflict of interest policy within 30 days of commencing service with the iowa medical society. The affected individuals must update and resubmit a policy acknowledgement annually.”

“The top management official for the organization is the executive vice president & ceo (ceo). The process for determining compensation of the ceo occurs in multiple steps and is eventually set by a compensation committee of the board of directors. Initially other senior management staff are requested to submit evaluative comments of the ceo's performance during the past year to the chair of the board of directors. Outside information is obtained in the form of a salary survey produced by an independent third party. The compensation committee will review the internal evaluations, consider the salary survey information, and complete a written annual evalution of the ceo including determination of appropriate adjustments to base salary, bonus, and other compensation amounts. This information is communicated to the ceo and written documentation is retained in personnel files.”

“Ranges of compensation for other officers and key employees are established and updated periodically based upon salary surveys of other state medical societies and iowa-based associations. Key personnel receive written performance evaluations twice each year. Salary adjustments are awarded january 1 based upon the ranges established by the survey results and the individual employee's merit/accomplishment of goals from the prior year.”

“The iowa medical society's governing documents, conflict of interest policy, and its financial statements are not made available to the general public. Such documents are, however, made available for review at the administrative office of the organization to members in good standing who so request. These documents are available for the same period of time as described in internal revenue code section 6104(d) for other public disclosure documents.”
