Governance Explanations

Form 990, Part VI, Section A, line 6

The Organization has one class of members that consists of three individuals.

Form 990, Part VI, Section A, line 7A

The members are responsible for electing and removing the members of the governing body or their delegates.

Form 990, Part VI, Section A, line 7B

The members must approve changes made to the organization's bylaws.

Form 990, Part VI, Section B, line 11B

The Form 990 was prepared by the outside accountants and reviewed by the corporation's CFO and COO/secretary/treasurer, the CEO and legal counsel. The board received a copy of the 990 before it was filed with the IRS.

Form 990, Part VI, Section B, line 12C

The first step in addressing conflicts of interest is disclosure. A director or employee who believes that he or she may be perceived as having a conflict of interest in a discussion or decision discloses that conflict to the group making the decision before a decision is made, a contract is signed, or a transaction is initiated. Most concerns about conflicts of interest are resolved and appropriately addressed through prompt and complete disclosure. The COO is responsible for making all decisions concerning resolutions of conflicts involving employees below the executive management level, subject to the approval of the PC and the Audit Committee, as needed. Any employee may appeal a determination that an actual or apparent conflict of interest exists. Appeals of resolutions by the COO and PC are directed to the Chair of Audit Committee. If the resolution was made by the Audit Committee, then the appeal is made to the Chair of the Board. Appeals must be made within 30 days of the initial determination. Resolution of the appeal is made by vote of a quorum of the full Board of Directors. Board members who are the subject of the appeal, or who have a conflict of interests with respect to the subject of the appeal, abstain from participating in, discussing, or voting on the resolution, unless their discussion is requested by the remaining members of the Board. Given the importance of resolving conflicts of interest, violations of this policy, including failure to disclose conflicts of interest, results in termination of a director, PC, or member of senior management (at the direction of the Audit Committee) or employee (at the direction of the PC or Chair of the Audit Committee).

Form 990, Part VI, Section B, line 15A

The ONE Campaign, a related 501(c)(3) organization, acts as a common paymaster for the two organizations. As a result, the process for determining executive compensation for ONE Action is the same as the process for the ONE Campaign. The board of directors reviews and adjusts the CEO's salary using comparable data, including the Form 990s of other organizations, compensation surveys, and an independent compensation consultant. Any adjustment to the CEO's salary is at the board's discretion and is documented in the board minutes. The last compensation review took place in January 2022.

Form 990, Part VI, Section C, line 19

The organization makes its governing documents, conflict of interest policy and financial statements available to the public upon request.

IRS990/Desc0North America: In 2024, the ONE Action team was integral to the success of US 2024 campaigns, working behind the scenes to foster bipartisan relationships and advocate for ONE's key priorities. The team provided crucial resources on PEPFAR's impact and strategies for five-year reauthorization to Congressional staff and organized private meetings for ONE's CEO with key Congressional members, including Senator Chris Coons and Congresswoman Barbara Lee.ONE also hosted multiple convenings, including a congressional briefing on African economic development with panelists representing the World Bank, Prosper Africa, USAID, and the DFC. (See Schedule O)In the lead-up to and following the 2024 US elections, ONE focused on congressional outreach to build new champions in the House and Senate. We engaged bipartisan candidates in open Senate races by publishing a briefing book on U.S. foreign assistance programs, which was sent to all Senate candidates. After the election, our US advocacy team created a briefing book for new members of the 119th Congress, adapted from our Senate candidate resource. This book introduces ONE, outlines legislative priorities, and provides messaging guidance.Through high-level engagement and strategic policy advocacy, ONE Action delivers the political influence needed to advance ONE's mission and help drive lasting progress toward economic opportunity and healthier lives across Africa.

IRS990/ProgSrvcAccomActy2Grp/Desc0Europe: In the EU, we advanced our priorities with ONE Vote EU, securing 70+ political champions and mobilizing support through our EU Advocacy Days. In 2024, ONE France campaigned to strengthen the Financial Transaction Tax (FTT) to offset ODA cuts, culminating in October Advocacy Days where the team met with 10 key MPs or assistants to rally support for reversing cuts and saving the Solidarity Development Fund.In Germany, ONE's 2024 campaign focused on the Bundestag election and the 2025 federal budget. The Germany ONE Vote campaign highlighted development success stories, demanded that Germany meet its 0.7% ODA target, and called for the Federal Ministry for Economic (See Sch. O)Cooperation and Development (BMZ) to remain independent rather than merge with the Federal Foreign Office. Throughout the budget discussions, ONE staff and Youth Ambassadors actively engaged with MPs and government officials to advocate for an increased BMZ budget, emphasizing the importance and impact of development cooperation and warning of the consequences of potential budget cuts.

IRS990ScheduleC/SupplementalInformationDetail/ExplanationTxt0ONE Action is a non-partisan organization and does not endorse candidates for public office, nor does it advocate for the election or defeat of particular candidates. We ran One Vote initiatives in three markets, calling for candidates, elected politicians and the public to pledge to continue the fight against extreme poverty. The campaigns enabled us to build key political relationships and gain commitments that we can hold leaders to account for over the course of their parliaments. We understand that the IRS may consider certain aspects of these campaigns to be partisan activity, so we have reported them here.

IRS990ScheduleJ/SupplementalInformationDetail/ExplanationTxt0As reflected on Schedule R, ONE Action shares paid employees with The ONE Campaign, a related section 501(c)(3) organization. The ONE Campaign is the statutory employer of all shared employees and acts as a common paymaster for the two organizations. Certain employees allocate their time between the two organizations, and ONE Action reimburses The ONE Campaign for ONE Action's allocable share of salary, benefits, and related overhead and administrative costs. The following methods were used by The ONE Campaign to determine the organization's CEO/executive director compensation: - Independent compensation consultant - Form 990 of other organizations - Compensation survey or study - Approval by the board or compensation committee

IRS990/ScheduleORequiredInd01
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0The Organization has one class of members that consists of three individuals.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1The members are responsible for electing and removing the members of the governing body or their delegates.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2The members must approve changes made to the organization's bylaws.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3The Form 990 was prepared by the outside accountants and reviewed by the corporation's CFO and COO/secretary/treasurer, the CEO and legal counsel. The board received a copy of the 990 before it was filed with the IRS.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4The first step in addressing conflicts of interest is disclosure.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt5The ONE Campaign, a related 501(c)(3) organization, acts as a common paymaster for the two organizations.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt6The organization makes its governing documents, conflict of interest policy and financial statements available to the public upon request.
