The members are the municipalities that pay the annual membership fee. Only municipalities in kennebec, somerset and western waldo counties are eligible for membership.

Each member municipality appoints 2 persons, one of whom must be a municipal officer, to the general assembly. The general assembly elects annually the officers and directors, adopts the annual budget, sets the annual membership fee and adopts and amends the by-laws.

The annual financial audit is performed by an outside accounting firm that presents the audit documents and its written summary and analysis to the officers and directors at a regularly scheduled board meeting. The form 990 is prepared by the same outside auditing firm and provided to the governing body prior to filing. The form 990 is reviewed by the bookkeeper and the executive director for completeness and accuracy prior to filing and compared with the numbers in the annual audit report.

Schedule D, Page 3, Part X

The council is exempt from taxation under section 501(c)(3) of the internal revenue code and is classified as other than a private foundation by the internal revenue service. The council follows the provisions of accounting for uncertainty in income taxes as provided for in the income taxes topic of the fasb accounting standards codification. This statement clarifies the criteria that an individual tax position must satisfy for some or all of the benefits of that position to be recognized in an entity's financial statements. It also prescribes a recognition threshold of more likely-than-not, and a measurement attribute for all tax positions taken or expected to be taken on a tax return, in order for those tax positions to be recognized in the financial statements. There was no cumulative effect on the council's financial statements related to following these provisions, and no interest or penalties related to uncertain tax positions were accrued. The council is currently open to audit under the statute of limitations by the internal revenue service for the years ended june 30, 2014 through 2017.
