At the november 8, 2019 joint annual board of directors meeting, the amended and restated articles of incorporation, bylaws and other related governing documents for the foundation and center were adopted. Main changes to the documents were to 1) replace references specifically to carf accreditation standards with general language about best practices or accreditation standards, 2) clarifying committee authority and 3) starting the 3-year term of a director at the time the person is voted in.

The vp of administration and director of finance reviews form 990. Form 990 is then presented to the audit committee for approval. Form 990 then goes to full board for approval. Form 990 is then filed.

Form 990, Part VI, Section B, Line 12C

Annually, the board reviews its conflict of interest policy. All board members report any possible conflicts of interest and excuse themselves from voting if there is a possibility of an appearance of a conflict of interest.

The president/ceo is selected by the board of directors with the compensation committee determining fair compensation. The organization utilizes annual performance reviews along with comparable data from salary surveys for all positions, including the president/ceo. Compensation of the vice presidents was determined by the president/ceo in consultation with the board chair based on performance evaluation and salary surveys. This process is conducted annually and is documented in the executive committee minutes. The executive committee has the authority to act on behalf of the board.

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require uncertain tax positions to be recognized in the consolidated financial statements if they are more likely than not to fail upon regulatory examination. Management has evaluated lp and lpf's tax positions as of june 30, 2020 and 2019 and for the years then ended, and determined that lp and lpf had no uncertain tax positions required to be reported in accordance with such generally accepted accounting principles. Lp and lpf are subject to routine audits by taxing jurisdictions; however, there are currently no audits in progress for any open tax periods.

THE GOAL OF LANAKILA KITCHEN, AS A WORKFORCE PROGRAM, IS TO DEVELOP THE SKILLS, BEHAVIORS, AND CONFIDENCE NEEDED FOR INDIVIDUALS WITH DISABILITIES TO SUCCESSFULLY SEEK, OBTAIN, AND MAINTAIN EMPLOYMENT IN THE COMMUNITY. LANAKILA MEALS ON WHEELS IS HAWAII'S LARGEST AND ONLY ISLAND-WIDE MEAL PROVIDER FOR SENIOR AND INDIVIDUALS WITH DISABILITIES. IN FISCAL YEAR 2020, LANAKILA MEALS ON WHEELS PROVIDED OVER 380,000 NUTRITIONALLY BALANCED MEALS TO OVER 2,800 INDIVIDUALS THROUGH OUR HOME AND COMMUNITY-BASED SERVICES. THE GOAL OF LANAKILA MEALS ON WHEELS IS TO ALLOW SENIORS AND INDIVIDUALS WITH DISABILITIES TO AGE IN PLACE WITH DIGNITY BY PREVENTING HUNGER AND SOCIAL ISOLATION WHICH OFTEN LEADS TO INSTITUTIONALIZATION.

THE PROGRAM OFFERS A VARIETY OF CLASSES FOCUSED ON DEVELOPING BASIC LIFE SKILLS OF INDIVIDUALS WITH DISABILITIES, SUCH AS INTELLECTUAL CHALLENGES AND AUTISM. TLCS SERVE APPROXIMATELY 110 PARTICIPANTS EACH YEAR. ACTIVITY AREAS INCLUDE PERSONAL DEVELOPMENT, EDUCATION, HOME MANAGEMENT, COMMUNITY DEVELOPMENT, RECREATION AND LEISURE, AND PREVOCATIONAL READINESS. IN MARCH ALL IN-PERSON SERVICES WERE SUSPENDED DUE TO COVID-19. THE TRANSITION WAS MADE TO OFFER TELEHEALTH SERVICES.
