Governance Explanations

Form 990, Part VI, Section A, Line 6

The association is a not-for-profit membership-based trade association. There is only one class of membership.

Form 990, Part VI, Section A, Line 7A

Member company designee's elect candidates to the governing body for 3-year rotating terms.

Form 990, Part VI, Section A, Line 8B

The association has no committees with the authority to act on behalf of the governing body and therefore does not make contemporaneous record of any committee meetings.

Form 990, Part VI, Section B, Line 11B

With the approval of the governing body, the form 990 was prepared in-house. It was reviewed by management and the finance committee, comprised of members of the governing body, before being made available to the full governing body for review prior to filing.

Form 990, Part VI, Section B, Line 12C

At each first annual meeting of the governing body, members are provided with a copy of and asked to provide a signed acknowledgment of the association's conflict of interest policy. Throughout the year management is vigilant to any potential conflict(s) and reminds members of the policy to which they acknowledged, if and when necessary. In the event of a conflict, the party in question is recused from proceedings the discuss and resolve the event which caused the conflict.

Form 990, Part VI, Section B, Line 15

The governing body assigns responsiblity for determining the principal executive's compensation to a compensation committee. Said committee uses all available comparability data to determine said compensation. The committee then makes their recommendation to the full governing body. The final determination is made by a vote of the full governing body and recorded in the meeting minutes.

Form 990, Part VI, Section C, Line 19

The association does not make its governing document, conflict of interest policy, and financial statements available to the public.
