Governance Explanations

Form 990, Part VI, Section A, Line 6

The association is a not-for-profit member-based trade association. There is only one class of membership.

Form 990, Part VI, Section A, Line 7A

Member company designee's elect candidates to the governing body for 3-year rotating terms.

Form 990, Part VI, Section A, Line 8B

The association has no committees with the authority to act on behalf of the governing body and therefore does not make contemporaneous record of any committee meetings.

Form 990, Part VI, Section B, Line 11B

With the approval of the governing body, the form 990 was prepared in-house. It was reviewed by management and the finance committee, comprised of members of the governing body, before being made available to the full governing body for review prior to filing.

Form 990, Part VI, Section B, Line 12C

At each first annual meeting of the governing body, members are provided with a copy of and asked to provide a signed acknowledgment of the association's conflict of interest policy. Throughout the year management is vigilant to any potential conflict(s) and reminds members of the policy to which they acknowledged, if and when necessary. In the event of a conflict, the party in question is recused from proceedings to discuss and resolve the event which caused the conflict.

Form 990, Part VI, Section B, Line 15

The governing body assigns responsibility for determining the principal executive's compensation to a compensation committee. Said committee uses all available comparability data to determine said compensation. The committee then makes their recommendation to the full governing body. The final determination is made by a vote of the full governing body and recorded in the meeting minutes.

Form 990, Part VI, Section C, Line 19

The association does not make its governing document, conflict of interest policy, and financial statements available to the public.

IRS990/Desc0THE ASSOCIATION REMAINED ACTIVE ON INDUSTRY ADVOCACY AT THE US FEDERAL, STATE, AND GLOBAL LEVELS. THE ASSOCIATION'S FEDERAL AFFAIRS TEAM MET WITH 130 FEDERAL POLICYMAKERS ON MULTIPLE ISSUES INCLUDING: THE CONSEQUENCES OF CHILD PROTECTION PACKAGES IN THE HOUSE AND SENATE; ADDRESSING CONCERNS WITH LEGISLATION TO PROHIBIT DIGITAL REPLICAS; DETAILING THE CONSEQUENCES OF DRAFT PROPOSALS THAT IMPLEMENT SITE BLOCKING MECHANISMS; AND EDUCATING OFFICES ON INCORPORATING A LIGHT TOUGH APPROACH TO LEGISLATION THAT REGULATES ARTIFICIAL INTELLIGENCE. THE FEDERAL AFFAIRS TEAM MONITORED NEARLY 9,000 BILLS ACROSS BOTH CHAMBERS DURING THE 119TH CONGRESS. NOTABLE FEDERAL EFFORTS IN THE U.S. INCLUDE: ADVOCACY ON THE KIDS ONLINE SAFETY ACT (KOSA - 119TH CONGRESS, S 1748), WHERE THE ASSOCIATION DRAFTED KOSA PRINCIPLES AND REDLINES WHICH WERE SHARED WITH CONGRESSIONAL LEADERS, AIDING IN THE SUCCESSFUL PREVENTION OF PASSAGE INTO LAW. IN THE EU, THE ASSOCIATION LED INDUSTRY ADVOCACY ON AI AND GPAI CODE OF PRACTICE THROUGH HIGH-LEVEL AND TECHNICAL ENGAGEMENT WITH POLICYMAKERS, HOSTING TWO NEW EDITIONS OF THE ASSOCIATION'S FLAGSHIP EUROPEAN AI ROUNDTABLE, AND REPRESENTED THE INDUSTRY AT INTERNATIONAL EVENTS. IN RESPONSE TO THE COMMISSION'S SIGNALED INTENT TO INTRODUCE NETWORK USAGE FEES THROUGH AN ARBITRATION MECHANISM IN THE IP INTERCONNECTION MARKET, THE ASSOCIATION ACTIVELY ENGAGED WITH STAKEHOLDERS AND EXPERTS TO OUTLINE THE RISKS OF THIS APPROACH, AND HOW THESE PROPOSED ARBITRATION MECHANISMS MIRROR DIRECT NETWORK USAGE FEES. THE ASSOCIATION STRONGLY CAMPAIGNED AGAINST OVERLY BROAD CONTENT TAKEDOWN MEASURES IN EUROPE, GAINING MAJOR MEDIA TRACTION AND PROMPTED EU-LEVEL ENGAGEMENT. IN THE UK, THE ASSOCIATION ENGAGED ON THE GOVERNMENT CONSULTATION ON REFORMS TO COPYRIGHT AND AI THROUGH PUBLISHING WELL-RECEIVED EXPLAINERS, SHARING EU AND U.S. EXPERIENCE WITH POLICYMAKERS DIRECTLY, AND COORDINATED ON A LETTER FROM ENTREPRENEURS AND SCIENTISTS URGING REJECTION OF THE AMENDMENTS. THE GOVERNMENT REJECTED AMENDMENTS THAT WOULD UNDERMINE AI TRAINING, AND CONTINUES TO WORK ON REFORM TO COPYRIGHT RULES. THE ASSOCIATION ALSO RESPONDED TO THE CMA's SEARCH AND MOBILE ECOSYSTEMS INVESTIGATIONS IN WRITING AND IN ORAL HEARINGS, AND RESPONDED DIRECTLY TO CMA's CLOUD MARKET INVESTIGATION.
