The president of the board and the vp assistant secretary of the board have a familial relationship.

Form 990, Part VI, Section B, Line 11B

The president of the board e-mails the draft copy of the 990 to each member of the board for their review and comment. The e-mail contains notice of the date, time and location of the board meeting. Following discussion and review of the draft 990, it is sent to the preparer with the board's questions/ recommendations, if any.

Form 990, Part VI, Section B, Line 12C

Officers, directors, trustees and key employees conducting the day-to-day business of the corporation shall take the responsible steps to identify matters that could give rise to or appear to be a conflict of interest. Each person shall be responsible for voluntarily disclosing such matters and providing a written disclosure statement to the secretary of the board. Any statement required by this section shall briefly describe the name of the interested persons involved in such transaction, stating each person's relationship to the corporation, the nature of such person's interest in the transaction and, where practical, the amount of such an interest. All disclosures of potential conflicts of interest shall be made a matter of corporate record. All abstentions from voting or other activities because of potential conflicts of interest shall be noted in the meeting minutes and record of proceedings concerning the matter in question.

The organization is involved in section 42 low-income housing tax credit property ownership. Under article 2 section 2(v) of its bylaws, its policy and procedure requires the direct involvement of legal, accounting, and other experienced professionals to assist in the evaluation of its business activities including, but not limited to, participation in housing development, ownership and operations applicable under state and federal tax law. Additional Explanations

Election Pursuant to Irc Section 168(H)(6)(F)(II)

Temecula vca, llc located at 14131 yorba st, suite 204 hereby elects under internal revenue code section 168(h)(6)(f)(ii) not to be treated as a tax-exempt entity for purposes of applying the rules found in i.r.c. Section 168(h)(6). This election is available to be made by an entity that is not tax exempt, but which is controlled 50% or more by a tax-exempt entity. Temecula vca, llc. Qualifies to make such election, as it is owned 79% and 21% by riverside charitable corporation and life span home, inc, respectively (both tax-exempt entities). The purpose of this election is to treat the entity allocable share of depreciable property owned by riverside charitable corporation and life span home, inc for affordable housing as property which is not tax-exempt-use property.

Financial Statement Notes

PART X, LINE 2:

The corporation has applied for and received a determination letter from the internal revenue service ("irs") to be treated as a tax-exempt entity pursuant to section 501(c)(3) of the internal revenue code and did not have any unrelated business revenue for the year ended december 31, 2022. Due to its tax-exempt status, the corporation is not subject to income taxes. The corporation is required to file and does file tax returns with the irs and other taxing authorities. Management has analyzed the tax positions taken by the corporation and has concluded that, as of december 31, 2022, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. Accordingly, these financial statements do not reflect a provision for income taxes and the corporation has no other tax positions which must be considered for disclosure. Income tax returns filed by the corporation are subject to examination by the irs for a period of three years. While no income tax returns are currently being examined by the irs, tax years since 2019 remain open.
