“The association offers the following catagories of membership: attorney members, legal community members, law student members, and honorary members. The specific qualification for membership are included in the association's bylaws which are posted at their website.”

“The governing body (board of directors) is elected through a voting ballot process.”

“Decisions of governing body approval by members or shareholders decisions that association counsel determines are related to member rights go to the general membership for approval.”

“A copy of the form 990 is provided to all members of the board of directors in electronic format unless a paper copy is requested.”

“A conflict of interest form is given to all board members, and to any committee members who have financial responsibilities.they are signed and returned to san diego bar association's office, where they are kept on file. If a conflict of interest were to arise, the situation would be reviewed and either resolved or the member would recuse themselves from any involvement with the transaction.”

“On an annual basis, the sdcba president and executive committee are responsible for making a recommendation regarding the compensation of the executive director, for condsideration and approval by the board of directors. This vite may take place either at the december board meeting, or at a spacial meeting that may be covered by the sdcba president. Board approval of the executive directors compensation is to take place pride to the end of the calendar year. The sdcba president and executive committee shal meet with the executive director to solicit input regarding the setting of compensation. The sdcba president shal also consider and solicit input from any member of the board of directors that wishes to be heard on the issues of the setting of the compensation of the executive director. During the annual compensation review, the president and executive committee will review comparison data from similar bar associations and othe professional membership organizations of similarly qualified persons in functionally comparable positions in preparing the compensation recommendation to the board. A record of the meeting and discussions relative to executive directors compensation will be documented, and the justification for any recommended adhustments to said compensation will also be documented. This record and documentation shall be sent to the sdcbas attorney of record who shall preserve the documentation for the future board to review. The president and/or member of the executive committee who have a conflict of interest with respect to the compensation arrangement of the executive director shall not participate in any recommendations or decisions pertaining to the compensation of the executive director. Modifications to the executive directors salary must be documented in a memorandum to the executive director from the president with a copy to the hr director for implementation through the payroll system. Form 990, part vi, section b, line 15b the executive director is responsible for establishing the compensation of all other sdcba staff, and such compensation is set after review of comparison data from similar bar associations and other professional membership organizations of similarly qualified persons in functionally comparable positions.”
