Governance Explanations

Form 990, Page 6, Part VI, Line 6

The saint paul rivercentre convention and visitors authority is a member organization. There is a basic membership, an affiliate membership (a member that owns more than one business), a hotel property membership for hotels within the saint paul downtown, and a hotel property membership for hotels outside the saint paul downtown.

Form 990, Page 6, Part VI, Line 11B

A detailed, page-by-page review of the form 990 was conducted by the finance committee. The finance committee forwarded their recommendation to file the form 990 to the executive committee. The executive committee heard a presentation from the finance committee on the form 990 and approved the filing of the form 990. The form 990 is made available to the full board of directors before filing.

Form 990, Page 6, Part VI, Line 12C

The saint paul rivercentre convention and visitors authority requests its board members reaffirm their understanding and compliance of the organization's conflict of interest policy by returning a signed form to that effect each year or when appointed to the board. The saint paul rivercentre convention and visitors authority also periodically reviews itsits relationships with its business partners and its contractual relationships to make sure the organization is in compliance with its policies.

Form 990, Page 6, Part VI, Line 15A

The president & ceo of the organization is a contract employee who is hired by the board of directors. The chair of the board of directors reviews that contract each year and discusses changes, if any, that should be considered by the board of directors. If changes are warranted, the executive committee discusses the particular issues and enters into a new employment contract with the president & ceo. The board has access to a report published by a national association of convention & visitors bureau to determine what is an appropriate compensation.

Form 990, Page 6, Part VI, Line 19

The organization makes its governing documents, conflict of interest policy and the financial statements available for review to anyone who requests to review them. This review generally takes place at the corporate offices of the organization or via email.

The convention and sport sales department works with national and local meeting and event planners to bring their events to the saint paul rivercentre/xcel energy center and hotel community. The goal of the department is to bring new dollars into the local business community which is measured by economic impact. Some examples of clients we worked with in 2022 are the minnesota dental association, allen d. LEHMAN, LEADING AGE AND THE NCHC COLLEGIATE HOCKEY TOURNAMENT WHICH ARE ANNUAL PIECES OF BUSINESS THAT HAVE RETURNED AFTER COVID. IN ADDITION, WE HOSTED SEVERAL NEW GROUPS SUCH AS THE LATVIAN SONG & DANCE FESTIVAL AND NATIONAL CO+OP GROCERS.
