QueensCare provides a continuum of quality health and hospital care to the medically underserved (indigent, uninsured, underinsured) residents of Los Angeles County.

QueensCare's mission is to provide, directly and in collaboration with others, accessible quality healthcare for low-income individuals and families residing in Los Angeles County.

QueensCare's Articles of Incorporation were amended amended on May 2, 2025 to name QueensCare Health Alliance, a public charity under section 107(b)(1)(A)(iii) of the Internal Revenue Code (QHA), as a supported organization of QueensCare. QueensCare is the sole member of QHA.

St. Joseph's Health Support Alliance, a California non-profit, nonstock, public benefit corporation described in Section 501(c)(3) of the Internal Revenue Code, is the sole corporate member of QueensCare.

In its capacity as QueensCare's sole corporate member, St. Joseph's Health Support Alliance has the authority to appoint each of the members of QueensCare's Board of Directors and certain officers of the corporation.

St. Joseph's Health Support Alliance, as QueensCare's sole corporate member, has the right to approve certain fundamental transactions, such as amendments to bylaws, QueensCare's Articles of Incorporation or resolutions to dissolve QueensCare's corporate existence.

Following preparation of a final draft of the Form 990 by the organization's tax preparers, the organization's CEO and CFO review, analyze and discuss the final draft to better ensure its accuracy and completeness. Once the return is completed, the CEO and CFO present the return to the Board of Directors and address questions and comments raised. Copies of the completed return are made available to board members.

The organization's Board members, corporate officers, and staff are subject to a written conflicts of interest policy. Pursuant to that policy, each such person is required to identify any transaction with the organization in which the person has (or may have) a financial interest. If a conflict (or potential conflict) is identified, the Board, excluding any involved Board members, carefully reviews the terms of the transaction and makes a determination as to whether the transaction is fair and reasonable to the organization under all the facts and circumstances. The organization monitors and enforces compliance with this policy annually by: (i) discussing such issues at its meeting; (ii) requiring all covered persons to provide written certification of their compliance with the policy; and (iii) carefully reviewing all material transactions to identify potential or real conflicts.

Form 990, Part VI, Section B, line 15

A Compensation Committee comprised of independent Board members formulates a proposed compensation level for the CEO by reviewing recommendation of an independent compensation consultant and general compensation data for similarly situated organizations. Following such a review, the Compensation Committee presents its findings and recommendations to the Board at which Board members are provided with the opportunity to ask questions. Based on the findings and recommendations of the Compensation Committee, a Board vote is taken to establish the new compensation level for the CEO. Deliberations of the Compensation Committee and the Board are recorded in the organization's minute book. The evaluation, review, and recommendation process were last undertaken by the Compensation Committee in May 2025 and its findings and recommendations with regard to the CEO's compensation level were approved by the Board in September 2025. Additionally, the Compensation Committee reviews and determines the salary of the CFO. QueensCare continued to engage directly in activities that furthered its principal purpose of providing medical care within the meaning of section 170(b)(1)(A)(iii) of the Code. Significantly, QueensCare has, through its direct care programs, maintained full responsibility for their operation and management. These programs include the Health and Faith Partnership, as well as the Mobile Dental, Mobile Vision, and Mental Health programs. Each has been staffed, funded, and administered by QueensCare, with all services delivered by QueensCare employees and under QueensCare's supervision. QueensCare oversaw all aspects of these medical care operations, including budgeting, contracting, and compliance, ensuring uninterrupted delivery of medical care and continuity of services for low-income residents of Los Angeles County. As a faith-based nonprofit originally founded by the Franciscan Sisters of the Sacred Heart, QueensCare continues their legacy of compassionate care by offering screening, treatment, education, and preventive and direct care to residents in need. The organization also supports charitable grants to other nonprofits and scholarships for those entering medical fields with an interest in working in underserved communities. QueensCare's mission is guided by the values of Respect, Excellence, Service, Compassion, and Stewardship, reflecting its commitment to inclusivity, high-quality service, dignity, kindness, and responsible resource management.

Net asset transfer: -103,262,560. QueensCare's activities and expenditure remained consistent with the provision and support of medical and hospital care under section 170(b)(1)(A)(iii) of the Code. During the year QueensCare Health Alliance (QHA) completed its multi-year long application process by securing the Mobile Dental license on February 20, 2025. The funds transfer was made to QHA in the amount of $103,262,560.

The Organization is exempt from taxation under Internal Revenue Code Section 501(c)(3) and California Revenue and Taxation Code Section 23701d. Generally accepted accounting principles provide accounting and disclosure guidance about positions taken by an organization in its tax returns that might be uncertain. Management has considered its tax positions and believes that all of the positions taken by the Organization in its federal and state exempt organization tax returns are more likely than not to be sustained upon examination. The Organization's returns are subject to examination by federal and state taxing authorities, generally for three and four years, respectively, after they are filed.

QueensCare's largest program is its Charitable Division which awarded $8,863,430 in grants to 70 nonprofit organizations during the year to support programs that advance efficiency and efficacy of the delivery of healthcare services for low-income individuals. Additionally, QueensCare awards scholarships to postgraduate students pursuing advanced healthcare degrees who express a commitment to serve in underserved communities. During FYE 2025, QueensCare awarded $190,000 scholarships to 19 students attending 9 universities. QueensCare provides its support without regard to race, religion, lifestyle, immigration status or ability to pay.
