“Governing body voting members: the board of regents of pepperdine university has an executive committee, which may act for and in place of the board of regents between regular board meetings. Only regents can be members of the executive committee. The executive committee has the power to transact business on behalf of the board of regents, subject to any limitations imposed by the board of regents, the bylaws, or applicable law.”

Previously, the authorized number of regents was 40. The bylaws continue to require a quorum for the transaction of business as one-third of the number of regents then in office, but now sets the minimum quorum requirement at no less than seven regents (previously, no less than eight); and, the bylaws require that no more than 20% of the regents be interested persons (previously, no more than 49%).
