Mission and Program Overview

Mission

The Marin Symphony is one of the oldest and most prestigious organizations in Marin County. The orchestra was the inspiration of a small group of professional and amateur musicians who wished to bring classical music, performed by local artists, to the people of Marin.Originally chartered as the Symphony Guild of Marin, The Marin Symphony Association has also been committed to providing programs to give young people in Marin an incentive for musical study and accomplishment.Marin County Catholic High School was the setting for the Marin Symphony's first official concert on December 14, 1952. The Symphony's performances remained there through the succeeding 13 seasons. The Symphony's second home through 1970 was the auditorium at the College of Marin. In 1971, the Symphony moved to its permanent home in the newly opened, 2,000-seat Marin Veterans' Memorial Auditorium where it remained until October, 1989, when seismic reinforcement to the hall necessitated a two-year hiatus. Governance Explanations

Form 990, Part VI, Line 1A: Explanation of Delegated Broad Authority to Committee

In accordance with common practice in the nonprofit community, the Board delegates certain matters to The Executive Committee, which is empowered to act between board meetings if necessary, and sometimes with specifically delegated authority to act in particular areas on behalf of the full board. The composition of executive committee includes certain members of the Board.

Stacy Scott, a Board Member, is the owner of Stacy Scott Catering which was utilized for catering services at one of the Association's events during the fiscal year ended June 30, 2015 at terms favorable to the Association.

Form 990, Part VI, Line 11B: Form 990 Review Process

Form 990 is prepared by an outside tax professional. The form is then reviewed bythe organization's management, a member of the board of directors, and the executivedirector. This group of individuals then discusses the contents of the return withthe outside tax professional. After a full review, the final version of the tax return is provided to all members of the organization's voting body. A representative of management authorizes the final form 990 which is then e-filed with the internal revenue service.

Members of the board of directors review all potential conflicts of interest atleast annually. All personnel and board members are required to disclose (inwriting) potential conflicts and any related party affiliations. Loans between theorganization and members of management and the board are strictly prohibited. Theorganization seeks full transparency on all relationships. Any potential conflicts (in fact or appearance) are discussed openly and resolved in accordance with the organization's policies and procedures.

OTHER PROGRAM SERVICES 4: Symphony@Schools is an innovative outreach program intended to bring symphonic music into the schools and students into the concert hall. It is designed to challenge and train all levels of young people in musical awareness. To pique the students' interest, Symphony@Schools offers performances by symphony musicians, meetings with the conductor, and complimentary tickets to Marin Symphony performances.

Financial Statement Notes

Part V, Line 4: Intended uses of the endowment fund.

Endowment funds are intended to provide earnings from investments to help augment the program activities of the organization. Endowment funds, classified as permanently restricted net assets, represent cash contributions that are subject to restrictions of gift instruments requiring that the principal be invested in perpetuity. In accordance with the endowment restrictions and the state laws governing such funds, earnings from investments may be transferred to unrestricted net assets and used for general operating purposes. The Association has adopted investment and spending policies for endowment assets that attempt to provide a predictable stream of funding to programs supported by its endowment while seeking to maintain the purchasing power of the endowment assets. Endowment assets include those assets of donor-restricted funds that the Association must hold in perpetuity or for a donor-specified period(s) as well as board-designated funds. Under this policy, as approved by the Finance Committee and the Board of Directors, the endowment assets are invested in a manner that is intended to produce results that approximate the price and yield results of the general market conditions.

Income TaxesFinancial statement presentation follows the recommendations of ASC 740, Income Taxes. Under ASC 740, the Association is required to report information regarding its exposure to various tax positions taken by the organization and requires a two-step process that separates recognition from measurement. The first step is determining whether a tax position has met the recognition threshold; the second step is measuring a tax position that meets the recognition threshold. Management believes that the Association has adequately evaluated its current tax positions and has concluded that as of June 30, 2016, the Association does not have any uncertain tax positions for which a reserve or an accrual for a tax liability would be necessary.The Association has received notification from the Internal Revenue Service and the State of California that it qualifies for tax-exempt status under Section 501(c)(3) of the Internal Revenue Code and Section 23701d of the California Revenue and Taxation Code. This exemption is subject to periodic review by the federal and state taxing authorities and management is confident that the organization continues to satisfy all federal and state statutes in order to qualify for continued tax exemption status. The Association may periodically receive unrelated business income requiring the organization to file separate tax returns under federal and state statutes. Under such conditions, the Association calculates, accrues, and remits the applicable taxes payable.

IRS990/Desc0REGULAR SEASON CONCERTS: THE MARIN SYMPHONY ASSOCIATION PRESENTED SEVERAL PERFORMANCES AT VARIOUS LOCATIONS IN NORTHERN CALIFORNIA, PRIMARILY THE SAN RAFAEL AREA, AS PART OF ITS COMMITMENT TO PROVIDE ORCHESTRAL MUSIC TO THE SAN FRANCISCO BAY AREA COMMUNITY. Under Music Director Alasdair Neale, the Marin Symphony has bounded into the 21st century with a new kind of Maestro, a hot young conductor who is a respected and charismatic musician. Alasdair Neale began his tenure as Music Director of the Marin Symphony in 2001. He also holds the positions of Music Director of the Sun Valley Summer Symphony, Principal Guest Conductor of the New World Symphony and Music Director of the San Francisco Conservatory of Music Orchestra.

IRS990/MissionDesc0Originally chartered as the Symphony Guild of Marin, The Marin Symphony Association has also been committed to providing programs to give young people in Marin an incentive for musical study and accomplishment.Marin County Catholic High School was the setting for the Marin Symphony's first official concert on December 14, 1952. The Symphony's performances remained there through the succeeding 13 seasons. The Symphony's second home through 1970 was the auditorium at the College of Marin. In 1971, the Symphony moved to its permanent home in the newly opened, 2,000-seat Marin Veterans' Memorial Auditorium where it remained until October, 1989, when seismic reinforcement to the hall necessitated a two-year hiatus. During this brief interval, the Symphony performances moved to Angelico Hall at Dominican University. On the occasion of the auditorium's 20th Anniversary on November 17, 1991, the Symphony returned to its home in the Marin Veterans' Memorial Auditorium, where it still resides to
