Governance Explanations

Form 990, Part VI, Section A, Line 4

Two key changes were made to the bylaws: 1) the bylaws allow two co-presidents. 2) the term of office for a director is three years.

The executive or finance committee shall review and approve the irs form 990 prior to submission and the full board shall receive a copy of the irs form 990 within 30 days of its submission.

Form 990, Part VI, Section B, Line 12C

Each director, officer and employee shall be provided with and asked to review a copy of this policy and to acknowledge in writing that he or she has done so. Annually each director, officer and employee shall complete a disclosure form identifying any relationships, positions or circumstances in which s/he is involved that he or she believes could contribute to a conflict of interest.

Form 990, Part VI, Section B, Line 15A

The organization implemented the following compensation review policy on november 9, 2009. In compliance with internal revenue service guidelines for approval of senior management compensation, the board of directors of di rosa will follow the following review and approval guidelines. The executive committee of di rosa has general oversight of the organization's human resource plan. Specific duties include yearly evaluation of the executive director of the organization. A competent salary survey is used to benchmark compensation for the position utilizing the northern california wage and compensation survey for nonprofit organizations and/or other studies. The executive committee meets independently of the executive director to discuss his/her performance relative to the position description and goals set for the year. During these deliberations, the committee also considers input obtained from other board members, staff, professional advisors and other informed stakeholders from the community. Once a consensus is reached regarding performance, a similar discussion is held concerning compensation relative to annual performance, overall budget and objectives. The president of the board then meets with the executive director to discuss and document strengths, weaknesses and goals for the upcoming year. Compensation for the upcoming year is also discussed and documented, subject to approval by the full board as part of the annual budget.

Consistent with the requirements of section 6104(0) of the internal revenue code and the regulations there under, copies of the organization's form 990 shall be made available, upon request, in a timely manner, and subject to the charges permitted by law to any individual(s) who request it.

Financial Statement Notes

PART III, LINE 1A:

The collections, which were acquired through purchases and contributions since the organization's inception, were not recognized as assets on the combined statement of financial position. Purchases of collection items were recorded as decreases in net assets without donor restrictions in the year in which the items were acquired, or as decreases in net assets with donor restrictions if the assets used to purchase the items were restricted by donors. Contributed collection items were not reflected on the combined financial statements. Proceeds from deaccessions or insurance recoveries were reflected as increases in the appropriate net asset classes.

PART III, LINE 4:

The organization's collections are made up of artifacts of historical significance and art objects that are held for educational, research, and curatorial purposes. Each of the items is cataloged, preserved, and cared for, and activities verifying their existence and assessing their condition are performed continuously. The preserve offers visitors' refuge to view the art of northern california in a singularly unique setting. Protected in perpetuity under the napa county land trust, the site features multiple galleries, a sculpture park, and a 35-acre lake, all located on 217 scenic acres in napa valley's famed carneros region. The preserve presents contemporary exhibitions by bay area-based artists and an array of educational programs for all ages, in addition to maintaining a permanent collection of notable works by artists living or working in the san francisco bay area from the mid-twentieth century to the present day.

PART X, LINE 2:

The preserve is exempt from income tax under section 501(c)(3) of the irc. Accordingly, no provision for income taxes has been provided in these combined financial statements. In addition, the preserve qualifies for the charitable contribution deduction under section 170(b)(1)(a) and has been classified as an organization that is not a private foundation under section 509(a)(1). The organization has evaluated its current tax positions and has concluded that, as of december 31, 2019, it does not have any significant uncertain tax positions for which a reserve would be necessary.
