Governance Explanations

Form 990, Part VI, Section A, Line 4

The bylaws was amended and restated to correct the responsibilities between board chair and president & ceo, add an attendance requirement, and add two additional board members to total number of board members 15.

Form 990, Part VI, Section B, Line 11

The taxpayer's accounting firm forwarded the form 990 to the director of finance and administration. The director of finance and administration reviewed the form and forwarded the form 990 to the ceo and board members for their review prior to filing the form 990. Board members were encouraged to review the form 990 and to forward the questions to the ceo. Either the ceo or the accounting firm addressed questions from the board.

Form 990, Part VI, Section B, Line 12C

Officers and directors are required to complete a conflict of interest form at the beginning of each year. Officers and directors of richmond community foundation are asked to maintain independence, objectivity, and confidentiality and to do what a sense of fairness, ethics, and personal integrity dictate even though not necessarily obligated to do so by law, regulation, or custom. Directors and officers serving on the executive committee shall refrain from voting on a proposed grant if they are in a conflict-of-interest situation and, if appropriate, shall withdraw from the meeting.

Financial Statement Notes

PART V, LINE 4:

The endowed fund will create a permanent source of grant making to support education, the environment, and other community issues.

PART X, LINE 2:

The foundation qualifies as a tax exempt organization under section 501(c)(3) of the internal revenue code and related california statutes and is exempt from federal and state income taxes. Management evaluated the foundation's tax positions and concluded that the foundation has taken no uncertain tax positions that would require adjustment to the financial statements. Should the foundation incur interest and penalties relating to tax uncertainties, such amounts would be classified as a component of interest expense and operating expense, respectively. With few exceptions, the foundation is no longer subject to income tax examinations by the u.s. Federal or state tax authorities for the years before 2010 and 2009, respectively.
